Wholly responsible for all legal and regulatory aspects of energy procurement, generation, sales, and use for North American operations – negotiated agreements for the purchase and sale of electricity, natural gas, diesel, and water; oversaw regulatory compliance with respect to FERC, NERC, and state utility regulations; advised real estate division on sale of utilities to tenants; collaborated with state and federal government affairs by interpreting and drafting legislation and regulations to mitigate the impact on costs of operations and of compliance; advocate corporation’s position in rate-making proceedings before the FERC and state public utility commissions; budgeted and managed outside counsel representing corporation’s interests in rate-making and other proceedings. Counseled corporation with respect to FERC pipeline transportation agreements and rate cases, gas storage, balancing agreements, asset management agreements, NAESB's. Negotiated and drafted power purchase agreements, including templates for master electricity purchase and sale agreements. Provided legal support to Government Affairs Team in review and drafting of regulations and legislation to meet corporation's policy objectives. Provided counsel with respect to gas, electricity, and water proceedings before state public utility commissions in eight states and Ontario.
