Develop comprehensive strategies for tax, estate, trust and wealth transfer planning and counsel clients to ensure they understand and are comfortable with the plans for their beneficiaries and transition of their personal assets.My responsibilities include (i) drafting estate plans, including revocable and irrevocable trust agreements, last wills and testament, disability planning documents, and change of beneficiary forms, (ii) structuring and implementing sophisticated estate and gift tax strategies, dynasty trusts, intentionally defective grantor trusts, family limited partnerships and limited liability companies, (iii) drafting petitions for adjudication, petitions for modification, non-judicial settlement agreements, and receipt, release and indemnification agreements on behalf of corporate and individual fiduciaries, and (iv) preparing gift tax returns using ProSystems.

In this role I counseled clients regarding estate and gift tax planning and business implementation, operation and succession planning. My responsibilities included: (i) drafting lifetime and testamentary estate planning documents, deeds, promissory notes, buy-sell agreements, partnership, limited liability and corporate charters, and various internal business documents, (ii) administering decedents’ trusts and estates, (iii) assisting my senior partner in merger and acquisition transactions of closely held businesses by drafting, negotiating and finalizing asset and stock purchase agreements and ancillary documents, including disclosure schedules, employment agreements, guarantees and financing agreements, performing due diligence and obtaining third party consents.During my time as an associate attorney at Bagley & Rhody, P.C., I updated the firm’s complete library of estate planning forms to ensure compliance with current law and integrate the forms of the firm's own authorship into templates for ease of use and improve efficiency when drafting for a variety of client needs.

Assisted attorneys in the preparation of estate planning documents, contract review, business formation, estate and trust administration and registration of a 501(c)(3) charitable organization in all 50 states.

Interviewed clients and witnesses. Conducted informal fact investigation and filed a complaint on behalf of a client to recover amounts paid as security deposit and first month’s rent. Negotiated with opposing counsel and defended a tenant in District Court for breach of contract upon lease termination.

Prepared and filed pleadings, petitions, motions and other documents relevant to District and Circuit Court actions. Conducted preliminary interviews and advised potential and current clients. Reviewed legal documents to investigate facts and law of cases to determine causes of action and to prepare cases for litigation.

Conducted legal research, cite-checked opinions, prepared bench memoranda and reviewed appellate briefs on a variety of civil and criminal cases.

Mediated consumer complaints against businesses for goods and services, credit and housing. Gained valuable conflict resolution and mediation skills.
