I focus my practice on secured lending and middle market financial transactions, representing financial institutions, private equity funds, and other secured lenders in all aspects of asset-based lending, debtor-in-possession financing, exit financing, and secured commercial loans. I frequently represent lenders in both in-court and out-of-court debt restructuring, including workouts, forbearances, asset sales, and judicial and non-judicial foreclosure. DeWitt is also experienced in many other aspects of Chapter 11 restructurings, representing creditors, private equity funds, and statutory committees in asset acquisitions, contested matters, adversary proceedings, Section 363 sales, and avoidance action proceedings.Representative Matters:Represented a major national bank and secured lender seeking to maximize recovery of a $250 million revolving credit facility by extending a $15 million debtor-in-possession facility to a national software distributor. Represented a major national bank and secured lender in maximizing recovery of a $100 million revolving credit facility by extending a $65 million debtor-in-possession facility to a national medical linen services company.Represented the Unsecured Creditors' Committee and Liquidating Trust in the Chapter 11 restructuring of a multi-national energy company with liabilities totaling over $1 billion.Represented a national private equity firm in a potential Section 363 asset purchase of a distressed hospital and in the subsequent adversary proceeding regarding fraudulent misrepresentation on behalf of the debtors.Represented a major national bank in contested matters seeking relief from the automatic stay to foreclose on its collateral in multiple chapter 11 cases.Represented a major casino in defense of a fraudulent transfer action alleging $27 million in aggregate transfers.
