Diana is an experienced Public Company Board Member, Audit Committee Chair and former senior financial executive. As an independent director, Diana is a respected voice on growth and transformation, as well as corporate governance, strategy, capital allocation, M&A, compensation, risk management, and advancing shareholder value. She Chairs the Audit Committee for (NYSE: OPTT) and (Nasdaq: PETS), is a member of the Compensation Committee for both companies and is a member of the Nominating & Corporate Governance Committee for OPTT. Diana NACD Director Certified and was named as a Director to Watch by Directors & Boards magazine.As an experienced Board member, Audit Committee Chair and Qualified Financial Expert, Diana has guided through numerous sensitive audit related matters, and has provided oversight as to capital deployment decisions, capital raises, M&A transactions, investor relations, investment strategies and policies and enterprise risk mitigation. As a member of the Compensation Committee, she brings deep experience regarding complex compensation and benefit matters along with human capital management experience. She has navigated several CEO and CFO transitions, succession planning, review of board compensation, and the development of performance-based compensation programs. As a member of the Nominating & Governance Committee, she has participated in the development of sound governance foundations and frameworks, including the creation of policies such as Claw-back and Related-Party policies and share retention guidelines. Diana has held CFO roles within publicly traded, private, and private-equity sponsored structures, as well as multi-location, pre-IPO, franchising, and founder-led companies. As a seasoned senior finance leader, she increased shareholder value by improving financial performance, obtaining liquidity and growth capital, leading strategic M&A, and directing share repurchase programs. Additionally, she provided leadership, governance, and oversight on critical matters such as cybersecurity, crisis management, shareholder activism, corporate conduct, and SEC communications. Diana’s 30+ year career began with Arthur Andersen & Co. and Target Corporation, Inc., and includes approximately 20 years as a strategic and operational CFO for a number of premier consumer brands. She was twice-named a Top Woman in Finance for the state of MN by Finance & Commerce Magazine, was nominated for both public and private company “CFO of the Year”, and was honored with a “Forty under 40” award by the Minneapolis Business Journal.
