I teach Drafting Business Documents, the course I wish I could have taken when I was in law school, to help young lawyers sharpen their legal drafting of everything from correspondence to contracts.

Lead the combined team that provides legal support for all domain name-related operations, including Amazon’s Registrar, Registry and hostmaster/domain portfolio. Illustrative work:• Revised ICANN-mandated separation policies to enable legal and other enterprise resources to collaboratively support all domain-related legal and compliance issues• Provided legal support to clear and stand up .AWS dual stack (IPv6) service endpoints• Worked with engineering team to develop ultra-secure registrar models• Evangelized adoption of brand TLDs (e.g., .AWS and .Amazon) and new generic TLDs acquired by Amazon Registry• Developed a WHOIS privacy service model that provides better protection for our customers and preemptively solved GDPR compliance issues• Drafted and negotiated non-standard Model Clauses for a cross-border transfer of customer personally identifiable information• Developed and implemented strategy to change registrar backend providers and seamlessly migrate customers to a “white label” registrar service for improved operational efficiency and customer experience

Function as a “chief of staff” across legal IP Ops team, including:• Led transition from legacy IP asset management system, along with review and improvement of internal processes (e.g., document retention)• Hired and managed the IP Ops team’s first program manager• Negotiated, drafted, and managed software and service agreements and relationships for IP Ops team• Participated in management of IP Ops team (e.g., hiring, budget)• Led trainings for IP Operations and Amazon generally: Situational Leadership (management skills) and 5 Choices (productivity skills)• Led task force to revise the writing exercise and create a phone screen template for the legal department to use for attorney candidates

From 2015-17, provided sole legal support for development and operation of Amazon Registrar (a new domain name registrar), including:• Analyzed regulatory requirements for registrars and registrar-resellers• Developed online customer agreements and policies• Negotiated and drafted supplier and other commercial agreements • Developed processes and policies (e.g., for handling abuse complaints, then led migration of that function to the AWS customer support team, de-lawyering the process to enable it to scale)• Regularly audited processes for compliance and continuous improvement• Supported various operational requirements (e.g., managing onboarding and ongoing relationships with registries)• Managed compliance with ICANN policies and applicable laws (e.g., GDPR) and participated in ICANN policy development processes

• Provided legal management support for ~$1.2B annual revenue technology services relationship with a major financial institution, including contract interpretation, dispute resolution, and contracting for new business• Negotiated and drafted all contracts, including add-on business (four deals, ranging from ~$100-700M TCV each), new services (e.g., help desk expansion), and removing major service components from scope of existing agreement (e.g., telecom transport services)• Worked directly with customer’s management team as first line of support to resolve all questions and disagreements over contract-related issues; advised business executives on escalated contract dispute resolution (formal and informal mediation)• Significantly reduced disputes by improving early response processes and amending agreement• Managed contract professionals and mentored new attorneys on various deal-related issues (e.g., legal questions, contract structure, and negotiation strategy)
