Partner And Team Lead, Employee Benefits And Executive Compensation Team Of The Tax Practice Group
CurrentAdvise medium and large public and private companies in various industries on all aspects of executive compensation and benefits.· Work on all aspects of executive compensation matters in connection with major corporate transactions (including formation, capital raises, initial public offerings, SPAC transactions, mergers, asset and stock sales and acquisitions and bankruptcies) and recurrent matters (including annual proxy filings and other securities filings, board resolutions, etc.); · Draft, design, and negotiate severance, employment, incentive compensation, bonus, change in control, partnership, equity and deferred compensation agreements, plans and other arrangements;· Review, analyze, and apply applicable laws and regulations, including IRC Sections 409A and 280G, Regulation S-K and other securities laws and regulations, state and local labor and corporate laws, etc.· Assist private equity and venture-capital sponsors and family offices with acquisition and divestiture of investments in various targets; and· Represented individual clients and management teams with respect to all aspects of their employment life cycle, including: commencement of employment, termination of employment, significant change in position or compensation, corporate reorganizations, mergers and other major corporate events.· Build and manage a team of Executive Compensation and Benefits associates
