Legal Counsel
CurrentDPAM (Degroof Petercam Asset Management) is an active, sustainable and research-driven asset management firm, which manages investment funds as well as discretionary mandates on behalf of institutional clients, for a total of € 42.1 billion, as of December 2022. As a pioneer in sustainable and responsible investing since 2001, DPAM integrates ESG across asset classes and themes and has a strong focus on research. As a Legal Counsel, member of the Secretary General & Legal Department, I am:• Following up the legal and regulatory coverage of the international activities of DPAM, i.e. the cross-border activities of DPAM (freedom of services) and the activities of the local offices (subsidiary and branches), providing ad-hoc legal support to the national and international sales teams and liaising with local law firms when necessary; • Covering legal and regulatory aspects of the French dedicated funds (AIF/FCP) managed by DPAM: negotiating agreements (fund administration, custodian), drafting and reviewing the fund regulatory documents, etc.;• Negotiating and reviewing various types of contracts with clients / service providers (discretionary portfolio management, distribution, investment management agreements, NDA, retrocession, etc.); • Reviewing marketing materials and communications with aim of complying with ESMA Guidelines on marketing communications, MiFID II and/or local regulations, if applicable; • Drafting internal legal memorandum and policies;• Contributing to internal legal knowledge sharing by participating in cross-departmental working groups, organizing ad-hoc training courses for other departments or sales staff, etc.
