Elevation Gold is a publicly listed gold and silver producer, engaged in the acquisition, exploration, development and operation of mineral properties located in the United States. Elevation Gold’s common shares are listed on the TSX Venture Exchange (“TSXV”) in Canada under the ticker symbol ELVT and on the OTCQX in the United States under the ticker symbol EVGDF. Provide valuation and corporate advisory with regard to merger, acquisition, and asset rationalization including performing any necessary due diligence. Manage various levels of technical and economic studies. Review financial positioning and assist in structuring and executing requisite financings.

Part of founding team that spun a precious metals royalty and streaming asset package out of a mid-tier operating company into a new publicly traded vehicle. Helped identify, analyze, value, and perform due diligence on direct investments in mining assets, acquisition of existing royalties or streams, or corporate merger and acquisitions. Acted as the Qualified Person ("QP") in reviewing company's external disclosures.• Initial portfolio consisted of thirteen (13) assets, two (2) of which were operating.• Current portfolio consists of one hundred and nineteen (119) assets, fourteen (14) of which are operating.• Initial private vehicle valued at approximately US$ 50m.• Current (Mar.’21) market capitalization of ~US$ 750m and traded on both the TSX and NYSE-American.

Worked closely with senior management team in the derivation of corporate growth and diversification strategies. Helped identify, evaluate, and ultimately structure merger, acquisition, and divestiture transactions. Supported these decisions with internal business, and external market analyses. Activities included:• Evaluated and helped structure US$ 90 million spinout of non-core gold assets to listed Canadian company (deal ultimately not consummated)• Participated in technical due diligence, provided background net asset valuations, assisted external advisors in preparation of evaluation and presentation materials, and aided team in closing of US$ 1,200 million merger• Liaised with investment banker community • Participated in technical due diligence, and helped manage internal reviewers / technical consultants• Managed relationships between company and principals associated with potential transaction opportunities

Evaluated business opportunities for the company including merger, acquisition, and investment analysis with a focus on copper, silver and gold assets. Reviewed corporate financing requirements and assisted both Chief Executive and Chief Financial Officers in structuring commitments. Organized and managed technical consultants on both external due diligence audits and internal reviews. Activities included:• Worked with Chief Executive Officer to financially restructure company after 2008 commodities market crash; strategies executed included royalty/debt restructuring, equity for payable swaps, small private placements, common share rollback, graduation to the American Stock Exchange as platform for U.S. trading• Identified strategic investor and structured secondary US$ 13 million private placement• Directed a revised scoping study on a US$ 300 million copper/silver development project in Montana, USA• Assisted taking the company public on the Toronto Stock Exchange; closed a C$ 34.5 million Initial Public Offering in February 2005 • Evaluated and originated a US$ 7.5 million project finance to re-start the company’s idle mine in April 2004• Originated a US$ 4 million private placement into the predecessor company in February 2004 • Performed the financial analysis supporting the re-start of the company’s idle 4,000 ton per day underground copper/silver mine in Montana, USA

Corporate Development – Provided input to, and supported the company’s ongoing merger and acquisition activities. Included review and valuation of potential business opportunities, market scanning to track asset development and transaction history, as well as participation in due diligence efforts. In addition, performed internal asset valuations for both carrying value assessment, and asset disposal purposes. Financial Analysis – Provided strategic planning support to the Chief Financial Officer relative to the company’s financial outlook. Involved development and maintenance of the company’s consolidated long range operating plan. Acted as principal contact, both internally and externally, concerning corporate economic forecasting. Advisor to CFO relative to external financing options. Specific examples include:• Helped structure and implement a US$12 million inventory financing for the company’s Chilean subsidiary• Worked with lending institutions to provide a US$27 million project loan term sheet to refinance existing working capital facility, and provide funding to expand company’s open pit / heap leach operation in Nevada• Provided support/analysis for a large convertible debenture exchange, as well as several debt for equity swapsTreasury - Acted as Assistant Treasurer for the company. Involved compilation of the annual corporate budget, concentrate marketing, short term cash forecasting and management, insurance, and external debt administration.

Performed technical evaluations of mining projects to assess bank involvement. Required review of project feasibility study, or similar information, analysis of resource/reserve and mine plan, cash flow modeling, debt capacity appraisal, due diligence organization and management, and internal investment recommendation. Worked with “banker” on loan structure to consider specific project parameters. Responsible for project monitoring once funding in place. Involved review of client’s construction progress, operating results and annual operating budgets with comment on potential affects to bank’s exposure. Both facets required site visits and direct interaction with operating and corporate management of the client. Projects included:• Underground / milling precious metals operations in Canada, United States, Nicaragua, Brazil and Chilé • Open pit / heap leach gold operations in Canada, United States, México, Côté d’Ivoire and Ghana• Open pit / heap leach copper operations in the United States and Chilé

Performed capital and operating cost evaluations of specific mining properties for the Bureau's Minerals Availability System database. Involved site visits, and discussions with mine’s operating management. Included active copper, molybdenum, gold, lead, zinc, silver, phosphate, and titanium producers in the United States. Other projects included:• Economic evaluation of potentially developable properties for federal land managers• Royalty analysis of sand and gravel, and other construction materials, in Nevada• Investigated use of solar processes in mineral processing with the National Renewable Energy Laboratory• Co-authored a reserve and grade trend study of the gold industry in the United States (E&MJ, June 1994)

Responsible for drilling and blasting program, and short-term mine planning from initial mine development through first phase of steady state production. As these duties were transferred to Ghanaian colleagues, worked on long range mine plan and highwall design to final pit limits. Specific tasks included: • Supervised several development construction projects• Helped develop initial drilling and blasting techniques (development to production) • Supervised drill and blast crews• Short term mine planning and production scheduling• Initiated tracking system for drilling and blasting production statistics and direct costs• Monitored explosives inventories and consumption rates for timing of purchase orders• Prepared drilling and blasting budgets and reports
