Lead development of financial strategies and tactics for existing operations, new product development, and acquisitions. Report to CEO. Lead treasury, tax, financial reporting, operational accounting, and information technology teams (45 people). Support 12 legal entities in U.S. and Canada.• Played key role in recent sale of General Chemical. Led development of financial forecasting model used to market company. Successfully presented and defended model and forecasts to prospective buyers. Served as financial and IT liaison with buyers’ due diligence teams. Cash sale to Chemtrade provided American Securities a 350% return on investment four years after acquiring company. • Executed $425 million leveraged loan syndication for dividend recapitalization transaction. Dividend returned 75% of original private equity investment one year after go-private purchase. Re-priced debt six months after issuance. Resulted in $7.4 million per year interest savings. • Oversaw all financial aspects of acquisition and integration of two bolt-on businesses. • Solved significant problem with end-of-life IT infrastructure by outsourcing to Secure-24, an SAP certified mobile and cloud hosting service for ERP applications. Solution avoided immediate need for seven-figure capital investment, reduced annual operating costs by $200K, increased performance and reliability, and provided state-of-the art disaster recovery capabilities. • Ran competitive bidding process for external audit that resulted in existing auditor, Deloitte, reducing fees 35% with no reduction in service. Outsourced federal tax compliance work to Deloitte, which reduced overall compliance costs $125K per year.

Three business segments, one sold in 2007, and two sold to American Securities and taken private in late 2009. Led corporate accounting function with responsibility for SEC, stockholder, and internal reporting, global tax planning and compliance, internal controls, SOX 404 compliance, GAAP compliance, accounting policies and procedures, and external audits. Reported to CFO. Led 13-person team. Locations in U.S., Canada, Mexico, and India. Supported 35 legal entities. • Implemented global consolidation system that delivered accurate monthly financial reports and analyses to managers within seven days. Process also supported timely and accurate preparation of quarterly and annual stockholder and SEC reports, clean audits, and $100K per year cost decrease.• Restructured legal entities and domiciles to eliminate withholding and reduce state and local tax exposure. Resulted in $6.2 million annual tax savings.• Proposed development and led implementation of alternate structure for sale of line of business that delivered $21.3 million tax savings. • Consolidated two divisional accounting functions, chemical and automotive, into single corporate accounting function with shared service center for global transaction processing. Eliminated 10 positions and reduced annual costs by $500K. Converted in-house payroll system to SAAS provider, which produced additional $100K annual savings. • Promoted to VP Corporate Finance (2010) and then VP & CFO (2011) of successor organization, General Chemical, after American Securities acquired GenTek.
