Called upon by board of directors to assume key leadership position for this independent power producer which I helped start in 2008. As CEO, I provide strategic direction over financial management, reporting, investor relations, financings, operations, safety, business development, accounting, contract negotiations, treasury management, and capitalization of company and projects.Genalta Power is an Alberta-based, distributed energy power producer which has grown substantially from its original start-up position, through high-level revenue building strategies and tactics that I’ve identified and executed over the past 9 years as both CEO/CFO. CEO BUSINESS DEVELOPMENT & GROWTH:► In first year as CEO, grew production 640%, expanded revenue 47% YOY, and realized EBITDA growth of 380%. ► Reduced employee turnover from 120% to 10% in 1 year.► Championed successful safety certification (COR) with 80% audit rate, increasing to 94% in 2017. ► Employed new accounting system and company-wide automated processes, enabling financial reporting across 15 subsidiary LPs within 20 days of month end. ► Restructured company to cash flow break even run rate due to market place disruption from new government regulations and subsidies in 2015. Generated $5M+ in cost-savings.► Achieved construction of 8 electrical power plants, totalling 65.5MW of production in 2017.

As founding partner, I developed and fostered an innovative, viable business model, directing all aspects of branding, marketing, business strategy, financing, and business development. Through aggressive sales and marketing initiatives, contract negotiations, and eventual construction and production, I propelled this organization from start-up into a continual growth mode. START-UP & EXPANSION:► Developed business plan, including pro forma model, proposal, terms of reference, and contracts along with the direction of investor relations. Secured contracts with minimum 10-18 years for each project with hundreds of millions in contracted revenue. ► Raised initial capital and secured private financing, capitalizing the company from start-up to multi-millions in construction. ► Implemented sophisticated corporate structure to facilitate ongoing project financing through the use of limited partnerships, joint ventures, and financial instruments inclusive of convertible debentures, preferred shares, mezzanine debt, warrants, and secured non-resource project financing. ► Successfully lobbied both provincial and federal governments for inclusion in key protocols and tax acts, generating significant additional company revenues.

Under CEO, I was tasked with directing all public reporting in the public markets and managing financials of this integrated, multi-national, renewable energy company. I managed operating budgets of both new solar farm construction and existing solar factories.BUSINESS TURNAROUND:► Turned around financial position, overhauling financial reporting system and processes across 8 divisions and 4 countries. Caught up all financial records, improving company positioning and valuation.► Led a team of lawyers and accountants to file documents required to de-list company from a public exchange and take it private, eliminating barrier to capitalize in Canada. ► Compiled comprehensive investor package with financial models, project data, and offering terms. Engaged an investment bank to complete due diligence and established investor meetings, raising millions in funding.

During a time of rapid organizational growth and development, I was recruited to lead Canada's largest fabricator of land-based drilling rigs through the IPO process. During explosive 500% revenue increase, instituted standardized processes and accounting and overhauled financial management system to support public filing. ► Developed and wrote IPO prospectus and MD&A, negotiated multi-million dollar operating line, prepared 3 years of back dated audited financial statements, completed 5 years of financial projections, and oversaw appraisals and valuations of 6 building locations. ► Directed complete IPO process to TSX filing, which was postponed due to the government suspending the income trust corporate structure.► Repurposed IPO work and approached existing customer base to initiate company sale. Directed due diligence process with public TSX company, resulting in eventual successful sale to an existing publicly traded income trust. Led completion of all closing documents and subsequent transition to new owner.

After 1-year as Controller I was promoted to CFO and in 2001 added COO & Director duties within this private, multi-national firm focused on petroleum E & P software training. Spearheaded revitalization and recovery of rapidly declining company, leading massive turnaround efforts to re-start stalled revenues and re-generate profits. Crafted corporate vision and instituted both short and long-term financial and operational plans. Directed all aspects of operations, including finance, marketing, HR, and IT.►Secured subordinate financing to fund research and development needed to convert software system. Collaborated with RBC through due diligence, financial models, business model, product development scope, and customer base identification. ► Worked with receiver to maintain financial stability of company, negotiating operating line of credit and orchestrating private placement to purchase company assets and rescue company from receivership. ► Rebranded company to support company transition and market evolution, resulting in company recognition as one of the Top 50 influential technology companies in the oil & gas industry in 2003.
