Experienced counsel representing closely held businesses and their owners as outside general counsel. I work with clients to resolve general business issues, whether it involves drafting and negotiating contracts, general business advice or litigation. I handle general corporate matters, formation/dissolution, contract drafting and review, and merger and acquisition matters, buy/sell transactions, real property purchase/sale transactions, commercial leasing and general real estate litigation and employment matters.

As general counsel, I manage the legal affairs for Victorious, including its litigation and compliance involving employment, regulatory, commercial and intellectual property matters and work with multiple departments including the sales team to assist in closing contracts.

My office primarily represented closely held businesses and their owners. My clients looked to me to act as general counsel since it is unnecessary for most businesses to have a full time attorney on staff. I worked with clients to resolve general business issues, whether it involves drafting and negotiating contracts, general business advice or litigation. On the corporate side, I handled general corporate matters, formation/dissolution, contract drafting and review, and merger and acquisition transactions among others. On the commercial real estate side I handle buy/sell transactions, leasing and real estate litigation. I have represented clients directly in numerous general civil litigation matters.Representative matters included resolution of two wage and hour class actions with one saving the client over $3,000,000; Six completed M&A transactions in 18 months – 4 sale side and 2 buy side; Numerous business formations both corporate and limited liability companies; Obtained $150,000 judgment in collections action; Defended breach of contract suit to California Supreme Court with success in fully dismissing two of five Plaintiffs saving client over $100,000; Numerous commercial lease matters from both landlord and tenant sides including lease drafting and review and commercial evictions on behalf of landlords. Represented clients in the purchase and sale of over $20M in commercial real estate.

Represented owners of closely held private companies who desired to buy or sell middle market companies. Provided valuation and marketing for client companies. Conducted negotiations with potential buyers to obtain letters of intent or term sheets.

I defended motor vehicle accident cases - both automobile and truck accidents as well as complex construction defect cases for numerous insurance companies. I also handled business transactional matters regarding entity formation, contract drafting and real estate purchase, sale and leasing.

Clerked at the Las Vegas US Attorney's office. Worked on numerous 9th Circuit briefs for the civil section, handled petty offense prosecutions before Magistrates in Las Vegas. Argued United States v. Hatch (1990, 9th Cir) 919 F.2d 1394 as a certified law student.
