In Australia and New Zealand AstraZeneca markets and distributes a broad range of products across the cardiovascular, renal, metabolic, respiratory and oncology therapeutic areas. The company also has one of the region’s largest pharmaceutical manufacturing facilities. I reported to the Country President and Managing Director Liz Chatwin.Responsibilities:• Member of the ANZ Senior Management Team which has oversight of the entire ANZ business; • Managing delivery of legal services for ANZ across both manufacturing and commercial activities;• Leading and managing the business compliance and company secretary functions for ANZ;• Project managing, negotiating and advising on complex commercial contracts, including:  AstraZeneca’s COVID-19 Vaccine supply contracts and on-shore contract manufacturing arrangements;  Reseller/Distribution arrangements;  Procurements;  Business development arrangements; and  Tender responses.• Advising on regulatory matters including competition issues and pricing (Pharmaceutical Benefits Scheme); and• Supporting Medicines Australia Code complaints and responses;• Providing guidance on employment law and employee conduct matters, including input into and advice on policies and procedures.

Cochlear Limited is a manufacturer of cochlear implant systems and other implantable hearing technologies. The company is in the ASX Top 100. I reported to the Group General Counsel, Ray Jarman and I worked closely with members of the senior executive team in Sydney.Responsibilities:• Business Partner to three key divisions; Manufacturing & Logistics, Design & Development and Finance.• Provided support to the Group General Counsel where required on other corporate projects.Types of matters I advised on:• International long term supply agreements for critical components;• Strategic investments and acquisitions;• Collaborations and IP/technology licensing; and• Corporate advisory matters including Corporations Act, ASX Listing Rules and Corporate Governance.

St Vincent’s Health Australia (SVHA) is Australia’s largest Catholic health care group. It operates public and private hospitals as well as aged care facilities. My role was to act as principal legal advisor to the SVHA group. I reported to the Group General Manager Corporate Governance.Responsibilities:• Negotiating, drafting, reviewing and advising on commercial contracts;• Advising on Commonwealth and state legislation and regulations;• Instructing and managing internal and external lawyers; and• Carrying out initiatives and projects to co-ordinate the regional legal functions and develop a group wide in-house legal team for SVHA.Types of matter I advised on:• Corporate projects including company consolidations and property development;• Regulatory matters in the health and not-for-profit spheres;• High value procurements including strategic IT projects;• Disputes;• Privacy and confidentiality; and• Intellectual property.

My role often involved me working with the Asia Pacific business division.Responsibilities:• Business Partner for five Sydney-based head office functions;• Coordinating and advising on the legal aspects of corporate projects;• Drafting, reviewing, negotiating and advising on commercial contracts and other documents; and• Corporate governance and Company Secretariat mattersTypes of matters I advised on:• IP matters including research/collaboration agreements, technology development, commercialisation and general licensing matters;• Regulatory/compliance (including privacy and medical devices);• Sales, marketing and distribution;• Acquisitions, joint ventures and strategic co-operations; and• Financings.

I was employed as a solicitor reporting to Peter Shaw, a partner in the Corporate Group. Peter is now a Director at Ash Street Partners and leads the firm's corporate practice. At Clayton Utz, Peter headed up the Enterprise Growth Team which specialised in providing legal advice to start-up and growth companies. I undertook a four-month secondment to the in-house legal department of Cochlear Limited from February to July 2007.Responsibilities:• Document preparation and review;• Liaison with clients;• Research and consideration of legal and commercial issues; and• Management of more junior fee earners.My role exposed me to a broad range of corporate and commercial matters including:• Joint ventures and shareholding arrangements;• Private mergers and acquisitions (including some venture capital); and• Commercial contracts (including terms and conditions of business).

Nova Legal was a boutique Sydney based incorporated legal practice providing a wide range of commercial legal services including corporate and commercial transactional matters. I reported to Mark Simpson, a Solicitor Director and my role was broadly the same as my role at Clayton Utz.

I was employed as an assistant solicitor reporting to Andrew Herring a corporate/commercial partner focussing on the transport industry and rail in particular. Andrew was formerly a partner at Richards Butler, my previous firm. Whilst at DLA I undertook two short term client secondments to Hutchison Whampoa Ports and RAC plc.

I trained at Richards Butler and subsequently qualified into the Corporate Finance Group. During my time at Richards Butler, I undertook secondments to the firm’s Hong Kong office and to the in-house legal department of Sea Containers Ltd/Orient-Express Hotels Ltd.
