Starting on October 1st, 2019, Enel decided we could further accelerate the transition from conventional to renewable energy by having both Global Thermal Generation and Global Renewable Energies in a single business line. The new business line is now called Enel Green Power and Thermal Generation. With this change, we split the management of the legal department into "Development Legal Affairs" and "Corporate Affairs and O&M Legal Affairs". While we run the department as a single team, this change allows me to focus on the development, construction and financing of our projects and also on the financing and commercial office matters. A good change allowing a more intense focus on the biggest challenges we face.

In July 2015, I embarked on an great new challenge within Enel Green Power: leading the legal support for the company’s expansion in Sub-Saharan Africa and Asia.I am now based with my family in Rome, Italy, at an exciting time at the company.We are already in India in a joint venture with Bharat Light & Power and have 1.2 GW of wind and solar at various stages (in operation, under construction and awarded) in South Africa. We are also working on a mini-grids project in Kenya with Powerhive.The work is especially challenging, not only for the speed at which the company intends to grow (the Strategic Plan calls for 7.1 GW over the next 5 years), but also because many of the projects are in joint venture with local partners, many are expected to be project financed, and many involve novel business models (mini-grids, retail solar) and innovative technologies.I will miss the team in Latin America, where I started with Enel in 2007. Ali Shakhtur, formerly general counsel for Chile and Andean countries has taken over leadership for the Latin America region. Back in 2007, we started as 4 lawyers and over 8 years grew to a true in-house law firm of 30 lawyers. Now it’s time to re-start with four excellent lawyers (three in South Africa and one focusing on India from her base in Madrid).

Enel Green Power S.p.A. is the renewable energy subsidiary of Enel S.p.A. Since June 2007, I have worked with EGP business development and engineering in the development and construction of 1.1 GW (net installed capacity) of renewable projects in the region, with another 700 MW currently under construction, and over 1.1 GW ready to build.In this period I assisted with the expansion of operations and development of projects in Guatemala, El Salvador, Nicaragua, Costa Rica, Panama, Brazil and Chile, including hydro, wind, solar and geothermal projects; and added development and operations in new countries, including Mexico, Colombia, Ecuador, Peru, and Uruguay.I report directly to the CEO for Latin America, with functional report to the general counsel of Enel Green Power, S.p.A. in Rome.As General Counsel, I have assembled and lead a team of local in-house attorneys and outside counsel to provide legal support for development through due diligence, joint development agreements, construction contracts (EPCs, BOPs, turbine supply agreements etc.), corporate and project financing, licensing, land rights etc., and support ongoing operations of existing facilities with PPAs, financings, litigation, environmental compliance, etc.Litigation work has included, in particular, a successful ICC arbitration (and defense of counterclaims), followed by a ICSID claim relating to an important joint venture in Central America; the whole finally settled in 2014 with a favorable outcome for EGP.I also support the compliance function and manage corporate governance matters in the region; including organizing and executing the corporate ownership changes in advance of the spin-off of Enel Green Power from Enel in late 2008 (and subsequent public offering in 2010).

Wilmington, Delaware, USAALICO (now part of MetLife) at the time was AIG’s subsidiary handling life, pension/annuities, personal accident and health and group insurance outside of the United States, in Europe, Latin America and the Caribbean, the Middle East and certain Asian countries. Responsible for supporting operations in France, Spain, Portugal, Romania, Turkey, Bangladesh, UAE, Taiwan, Lebanon and Latin America. Responsible for handling matters for ALICO Home Office claims and accounting departments, and for ALICO’s profit center for offshore individual life policies. From February 2005 to July 2006, responsible for supporting AIG’s group life and health insurance profit center. In these roles, coordinated and supervised local in-house and outside counsel, provided legal advice and support on all aspects of ALICO’s business, including review and drafting of all manner of contracts and corporate documentation, responses in significant regulatory compliance matters, and management of major litigation. Matters ranged from M&A, antitrust, insurance regulatory, labor and employment, internal corporate, criminal, anti-money laundering, OFAC, FCPA and investments. Assisted in department management through contributions to strategic planning, input to budget process, participation in recruiting and input to department reports on litigation and major matters.

Worked as resident US attorney in Steel Hector & Davis' joint venture with a Brazilian law firm (Stroeter, Royster & Ohno Advogados). Active admission during period as foreign legal consultant (Florida law).Corporate, M&A, Project Finance, Electric Energy and Oil & Gas Regulatory: Negotiated and drafted contracts for the development and financing of infrastructure projects in Brazil (thermal electric plants, chemical facilities, port terminals). Advised U.S. petroleum exploration venture in Brazil from the acquisition of a local production company through the renegotiation of exploration and production rights with Petrobras: negotiated and drafted purchase and sale agreement and related documentation, coordinated local counsel and supervised due diligence, advised and implemented changes to local corporate structure, supervised registration of foreign investment, assisted with registration of technical services agreement, immigration, labor, foreign remittances and tax advice. Assisted Brazilian attorneys in the preparation of legal advice on Brazilian law in all manner of transactions: government contracts, distribution agreements, employment agreements, tax, labor and employee benefits, immigration, regulatory compliance, establishing subsidiaries etc. Litigation: Lead counsel in arbitration of dispute regarding foreign investment into Brazil. Assisted U.S. clients in management of civil litigation matters in Brazil. Management: Substantial involvement in management of the firm’s operations in Brazil (billing, collection, training, hiring, marketing), coordination with Florida offices, and responsible for compliance with head office policies.

Project financing of electricity generation facilities - gas-fired, solar, wind - for one of the largest independent power producers in the US. Drafted documents and assisted with due diligence in connection with the development and financing of U.S. and Brazilian power projects. The U.S. deals involved the restructuring of solar, geothermal and windpower projects including the purchase of debt, equity, and the leasing of facilities. The Brazilian deals involved electric power privatizations in Brazil and ventures for the development of independent power projects.

Prepared and taught the International Business Transactions course for two semesters for the the executive LLM course at IBMEC (18 class-hours per semester). The course introduced students to a US-style, case-based, socratic method course (using an "on-deck" system) and focused on problems in international sales and letters of credit transactions.

Involved in all aspects of antidumping and countervailing duty litigation, at both the agency and court levels. Began substantive legal work in international trade litigation matters while attending law school at night. Work in this period involved the following products/countries: textile mill products and butt-weld pipe fittings (Thailand), roller bearings (Japan), color photographic paper (Japan), frozen concentrated orange juice (Brazil), silicomanganese (Brazil), and flat-rolled steel (Brazil and Canada), special bar quality steel (Brazil). In addition, researched and drafted briefs and negotiating documents in Section 301 investigations and WTO disputes, worked on various Customs matters, and reviewed and provided advice concerning international sales and service agreements. Traveled extensively to Thailand, Canada, Brazil and Japan.
