Independent attorney with in-house general corporate, commercial contracting and complex tech transactional experience, acting in a “plug and play capacity” as sole counsel or in support of in-house legal departments for overflow work, maternity/paternity leave, PTO, leave of absence, and other temporary work circumstances.Experience includes Complex Tech Transactional (SAAS and MSAs); Intellectual Property (Joint Development Agreements); Compliance (FCPA); Privacy (DPAs); Commercial Contracting (Vendor Agreements); Corporate Finance and Leveraged Buyouts (Credit Agreements); Litigation (Managing Outside Counsel); Workouts/Reorganizations(Creditor); Legal Support for Sales Staff; and Advising Senior Management.

Draft, negotiate, close, and maintain all customer related SAAS Agreements, Master Service Agreements (MSAs), and Data Privacy Agreements (DPAs) for North America; draft and negotiate joint development and third party alliance agreements; provide legal support on IP related matters for product enhancements and new product development; draft, revise, and update company templates; support sales staff as needed, including attending weekly company sales meetings for updates on the status of sales transactions; developed company wide anti-bribery compliance program; provide support as needed for revenue transactions in EMEA and APJ.

Management responsibility for providing the legal services and support for a division of a publicly traded technology company. Responsibilities include advising senior level company executives on legal and business matters including the effective structuring and restructuring of transactions for the benefit of the company and the customer; the evaluation and management of legal risk; and on creative and practical solutions to solve ongoing business and legal issues.Responsibilities also include the negotiation of complex technology agreements such as software, license and maintenance agreements, managed services and hosting agreements, and agreements with third party partners; the management and supervision of in-house attorneys and support staff; and the management of outside counsel regarding litigation matters, and commercial transactions.Extensive experience working with customers in North America; substantial experience working with customers in South America (Brazil), and APAC.

Represented the lead agent in leveraged finance transactions. Involved in all aspects of the structuring, negotiation, and documentation of these transactions. Experience included the negotiation and drafting of commitment letters and term sheets; the negotiation and drafting of complex credit agreements, guaranties and collateral documentation; the review of senior note and subordinated note agreements; and the negotiation of all applicable aspects of a transaction with syndicate lenders. Represented senior lenders in corporate restructuring and workouts including the drafting of amendments to existing credit documentation, the negotiation with other senior lenders and subordinated lenders regarding the restructuring of such debt, and the representation of syndicate lenders in the preparation of debtor-in-possession documentation for Chapter 11 debtors.

Represented corporate clients in commercial litigation, mediation matters, and adversary proceedings. Responsible for witness interviews, and depositions, the preparation of briefs, discovery requests, and responses; trial preparation, and the supervision of associates and legal assistants. Other areas of civil litigation experience included: accountants liability; CERCLA environmental litigation; products liability; and the representation of creditors in Chapter 11 bankruptcy proceedings related to true lease, preference, and fraudulent conveyance actions.Experience also included the representation of a trustee in the liquidation of a broker-dealer under SIPC. Responsibilities included the investigation of the day-to-day business activities of the broker-dealer; the review of the conduct of the former principals of the firm; and the investigation of all of the underwriting activity of the firm, including IPOs and private placements.
