Contracts Manager (For Research Related Agreements)
Main functions: (Admin, Legal & Contract Review, Negotiate, Execute) including alignment of NUS’ policies, interacting with NUS’ TTI and with external law firms. 1. Material Transfer Agreements and Data Access Agreements for Duke-NUS, including reviewing MTA and/or Data clauses in RCAs 2. Biological Cell Licenses Agreements 3. Facilitate non-exclusive licenses agreement (in and out) for non-cell line license agreements- Technology Development: Establish effective support relationships with scientists in technology commercialisation space to understand and extend their research areas and priorities.- Communication: Reach out to faculty members on the research subject matters and touch base on new findings- NUS Technology Holdings: Prepare Board Papers for new Start-Ups, Licenses, Shareholding Agreements, Accession, and all other necessary documents, including coordination with external law firms and internal audit between stakeholders - Programme: Support CTeD Director (In absence of VC Manager on board) on establishing administration matters for Incubation Program (ie. inaugural Incubation Programme (Invitation Letters, Business Memo, pitch drafting, Meeting with potential committee members, engagement with potential scientists))- VCs: Setup and coordinate meetings for potential VCs and targeted scientist, promote and follow up with VCs for potential opportunities- Policies: Draft and review SOPs and Start-up Policy, Copyright policy- Negotiate the terms of and prepare the required agreements in line with NUS’ policies, interacting with NUS’ ILO and with external law firms - Engagement in audit processes (internal & external auditors) to ensure compliance and financial integrity - Provide complete support from administration, case monitoring and database management updates.
