Senior Legal Counsel
CurrentMy main duties include providing legal advice on all matters related to the development, permitting,commissioning, start-up, operation and maintenance of renewable energy projects, including•Negotiation, development and review of commercial agreements (LOI, NDA, MOU, EWA, EPC, O&M,PPAs, MSAs, DSAs, framework agreements, collaboration agreements, contracts with projectintermediaries and co-developers, assignment of use agreements, etc.).•Negotiation, development and review of civil contracts (lease agreements, sale and purchaseagreements and other real rights, SPA, etc.).•Coordination of due diligence procedures related to the financing of renewable • energy projects.• Negotiation of financing contracts with banks for project financing.• Management and follow-up with external advisors.• Management and coordination of all communications to the commercial registry and notary's office.• Preparation, review and negotiation of guarantees, warranties, Parent Company Guarantees, etc.•Drafting of all types of legal communications related to projects under development andadministrative documents before the Public Administration.•Preparation and review of agreements with other promoters, granting of powers of attorney, reviewand drafting of corporate minutes and certifications, review of by-laws, articles of incorporation, A.I.E.,joint ventures, etc.• Coordination and communication between international and national offices.
