As Commercial Counsel, my role includes:• Drafting, reviewing, and negotiating various commercial contracts: NDAs, MSAs, SOWs, manufacturing & supply agreements, R&D agreements, clinical trial agreements, IIS/IIR agreements, business associate agreements, technology licenses, SaaS agreements, sales agreements, distributor agreements, media buying agreements, venue agreements, real estate agreements, among others;• Developing and maintaining expertise in various legal areas, including contracts law, data use and protection laws, consumer protection laws, privacy laws (e.g., CCPA, GDPR), L&E, ESG, and key areas of risk for medical device manufacturers (e.g., Federal Anti-Kickback Statute and anti-bribery/anti-corruption regulations);• Supporting global commercial operations (US, AUS, LATAM, EU) for company stakeholders in line with long-term business strategies and risk management objectives by providing rapid, practical, business-oriented advice directly to business clients;• Proactively assisting and counseling business partners to address legal, regulatory, and reputational concerns, and to resolve commercial disputes;• Developing and delivering training to internal stakeholders, including on contracting processes, protection of confidential information, etc.;• Collaborating with internal stakeholders and the Legal team to identify and implement process improvements regarding contracting and general legal guidance;• Applying innovative problem-solving skills and practical business judgment to maximize revenues, minimize risk, and foster long-term client relationships;• Developing new and updating existing contract templates, and researching relevant legal issues as needed.

• Reviewed, drafted, and negotiated various contracts, including: social media influencer agreements, media purchase agreements, distribution agreements, broker agreements, co-packing agreements, sale agreements, barter agreements, MSAs, SOWs;• Collaborated with cross-functional business teams.

• Reviewed, drafted, and negotiated (inbound and outbound) commercial contracts, agreements, and business operation documents from various domains (e.g., electric vehicle charging station hardware, cloud services, marketing services, billing services, shipping services, lobbying services, etc.), including: nondisclosure agreements, master service agreements, software as a service (SaaS) agreements, site license agreements, reseller agreements, statements of work, assignment agreements, purchase terms and conditions, purchase orders, consulting agreements, data sharing agreements, and privacy policy.• Collaborate with, and educate, internal business teams regarding contract terms, commercial implications, negotiation best practices, legal risks, etc.

• Reviewed, drafted and negotiated contracts regarding stadium and business operations (e.g., service agreements, rental agreements, purchase orders);• Researched statutes, regulations, and case law to evaluate if projects constituted public works subject to prevailing wage requirements; drafted memoranda regarding same;• Advised internal business teams on contract terms, legal risks, and drafting best practices.
