Ms. Eisner has developed a strong specialty in federal and state laws applicable to non-profit organizations. Ms. Eisner has extensive experience representing nonprofit 501(c)(3) borrowers in tax-exempt financing transactions, including numerous hospitals and major medical centers financings; numerous nonprofit universities; retirement facilities; and research facilities and other nonprofit facilities. Ms. Eisner’s financing practice extends to both non-profit and for-profit entities, and also includes advising companies with respect to credit enhancement facilities, letters of credit, and interest rate swap transactions and advising on compliance with post-issuance use restrictions imposed on tax-exempt financed facilities. Ms. Eisner’s tax-exempt practice includes representation of nonprofits affiliated with churches, and as a result has a strong background in the doctrine of separation of church and state under the State and Federal Constitutions and its applicability to financings and grants involving governmental entities. In addition, Ms. Eisner has a specialty in intellectual property transactions, including the law and practice surrounding the development, acquisition, protection and exploitation of proprietary technology and the commercialization of that technology through the development, manufacture, and distribution of products. She routinely assists companies in the development of licensing, distribution, and other intellectual property strategies, including the structuring and negotiation of strategic alliances, cooperative development transactions, and collaborative development and marketing agreements.
