Corporate & Securities: • Counsel management and board members on legal and corporate governance matters, including attendance at board meetings.• Review and negotiate commercial agreements including those for licensing, distribution, supply, purchasing, and manufacturing.• Advise on other legal matters including debt and equity financing, capitalization and shareholder relations.Mergers & Acquisitions: • Negotiate and draft acquisition and ancillary documents for corporate transactions by public and private companies, including mergers and stock sales for technology, life sciences and software companies.• Advise private equity funds and their portfolio companies with respect to acquisitions of target companies including advising on term sheets and negotiating and executing on acquisition documents.• Advise early stage companies with respect to venture capital financings.• Supervise junior associates and paralegals, and coordinate internal and client teams.In-House and Other Relevant Client Experience: • Completed two short-term secondments serving as in-house counsel to clients in the pharmaceutical and software industries. • Developed and strengthened long-term relationships with clients often serving as primary client contact, working directly with CEO, CFO, and other business teams on a variety of legal matters and transactions.Firm Service: • Summer Program Advisor • Associate Mentor• GBLS Associate Drive Firm Coordinator
