Provided guidance and conducted high level research for a Fortune 100 technology corporate client relating to national regulatory and compliance issues in the professional services industry to support the launch of client's new technical platform.

Briefly: Responsible for the development and analysis of contractual relationships that related to Investigator Initiated Studies. My role included, but was not limited to, drafting, negotiating, and finalizing numerous types of agreements with Institution/Entity, that related to various clinical projects in different therapeutic areas. A few examples of the types of agreements that I worked on are clinical & non-clinical trial research agreements, investigator grants, site negotiations, material transfers, amendments/assignments, confidential disclosure agreements, etc. Provided support to the clinical team in the pricing, planning, execution and control of grants and contracts. Briefly: Reviewed, drafted, and negotiated a variety of indirect and direct tax software contracts including software licensing agreements, consulting agreements, and many many more for a privately held international company.

Briefly: Reviewed, drafted and negotiated a wide variety of contracts, leases, licenses, confidentiality agreements, subcontracts, and amendments, pertaining to direct and indirect procurement for ARAMARK’s Supply Chain Management Group and Contract Labor Program. Analyzed contractual requirements, special provisions, terms and conditions to ensure compliance with appropriate laws, regulations, corporate policies and ARAMARK procedure. Identified and articulated fundamental commercial contractual risks and issues (e.g., indemnity, limitation of liability, insurance, etc.). Served as primary point of contact from ARAMARK Legal to Supply Chain Management personnel and the Contract Labor Team to facilitate the contracting process. Proactively worked with internal ARAMARK clients and external suppliers/agencies to resolve contractual issues; interfaced with difficult clients and engaged in a professional, positive, yet constructive manner. Prepared and disseminated updates and analyses regarding contracting status, compliance, and modifications. Drafted memoranda and other correspondence relating to all aspects of the contracting processes.

Managed active cases and issued Final Determinations regarding access to public records under the Right-to- Know Law. Examined Right-to-Know request along with any response/affidavits from Agency. Determined whether requested information is a public record or subject to any exceptions, and whether requester is legally entitled to the record. Researched and drafted binding, Final Determinations (opinions) as to whether the request shall be granted or denied and setting forth reasons for the decision.

Criminal Defense: Conducted hearings and researched issues related to various misdemeanors and felonies. Negotiated reduction of fines. Conducted witness examination at felony preliminary hearings. Negotiated plea agreements with judges, prosecuting attorneys, and detectives on felony cases across four counties. Child Custody & Support: Researched and drafted child custody petitions based on the best interest of the child standard. Awarded sole legal and physical custody by Master after successfully arguing petition.

Prepared mediation briefs, settlement demands, motions, pretrial documents and discovery documents. Researched and analyzed legal issues using Westlaw, LexisNexis, and Reporters. Drafted complaints. Reviewed contracts with a special emphasis on limitation of liability, insurance issues, and indemnity. Assisted with depositions, mediations, and settlement conferences. Conducted independent client interviews. Served as liaison between attorneys, investigators, court personnel, clients, and expert witnesses.

Taught legal research and writing to 150 first year law L.L.M. students and L.L.M per semester. Assisted the students in developing legal research skills. Instructed students in writing legal memoranda, contracts, and settlement letters with emphasis on correct citation to legal authority.
