Advise on public and private stock resale matters, including 10b5-1 trading plans, trading window preclearance process, executive stock ownership guidelines and stock retention requirements. Advise on, support negotiation of and draft stock/asset purchase and related agreements. Lead and coordinate due diligence efforts, including the review of financial, legal, and operational aspects to identify risks and opportunities. Oversee and advise on integration efforts for efficient transition of assets, employees, and operations. Collaborate with internal stakeholders and external advisors, fostering effective communication and alignment throughout the transaction.
