Working methods : The legal work is handled on a pro active basis, with a close relationship with the commercial an operation people, as well as through numerous contacts and close exchange with the CEO of the business unit. Attendance to the monthly Executive Committees related to the geographical and business organizations. Frequent travels in France and overseas (Americas, Asia, Persian Gulf, Europe, etc..) Regular attendance to meetings with clients, as well as suppliers, which implies a high sensitivity to the business, commercial and financial concerns of the company. Mergers and Acquisitions: In France and overseas, directly or through local counsels. I handle and take in charge of the legal matters very early in the process, as from the first confidentiality undertaking, the Memorandum of Agreement, Heads of Terms, legal due diligence, competition issues, actual completion of the deal, and integration of the purchased company. Contracts : In this respect as well as in the previous ones, early involvement into the contract negotiation, mostly as regards clients contracts, hence with a relatively "weak" position in the negotiation. Drafting of contracts, or comments on the existing proposal , through email exhanges or « live » negotiation in the clients' premises. Sensitivity to various industrial or services sectors of our clients : oilfield, aerospace, luxury goods, industrial projects, automotive, etc. The legal matters are more and more related to outsourcing of logistics. Company law: Company Secretary, and/or follow up of around 100 companies, inluding around 20 in France, as regards both their day to day company law and mergers and acquisitions. Transport Law : Legal advice provided to operation or commercial people of a Business Unit that employs around 10,000 people.; In house lawyer, GROUPE EXPANSION, Economic Newspapers : Contracts, Companies law, Press law, Joint Ventures, France as well as abroad.
