Enterprise Deputy General Counsel responsible for supervising 17 person law department who advise and support the company’s three business units and enterprise functions such as sales contracting, vendor contracting, human resources, compliance and finance.• Focus on optimizing legal operations, organizational structure, growing and training the legal team, supporting and developing attorneys, maturing contracting process as well as implementation of technology to drive efficiency. • Supervise budgets and outside counsel management Serve as lead counsel and part of leadership team for Insights and Empowerment business unit. Provide support of general operations, strategic initiatives, corporate governance, regulatory compliance, government relations and merger & acquisitions.

General Counsel and Chief Compliance Officer of Vitals• Manage the day to day legal affairs of Vitals, which sells a SaaS based healthcare transparency software to health insurance companies and self-insured employers• Draft, negotiate and advise on a variety of legal agreements, including software licensing agreements, data licensing agreements, vendor agreements, non-disclosure agreements and consulting agreements• Serve as the Chief Compliance Officer and oversee the company’s compliance with all applicable laws and regulations, including but not limited to HIPAA and CMS regulations• Manage policies and procedures with respect to protected health information (PHI) that are designed to comply with HIPAA medical privacy, transaction and security standards• Develop corporate policies, procedures and training programs • Manage and oversee all corporate insurance policies and coverage• Manage all litigations • Oversee procurement and protection of all company intellectual property, including trademarks and patents• Prepare annual budget for the Legal and Compliance Department• Oversee maintenance of Company’s HITRUST CSF certification

• Work with the General Counsel in managing the day to day legal affairs of St. Joseph’s Healthcare System, which includes two acute care hospitals, a nursing home and a home health care agency• Review, revise, draft and manage all contracts for the System• Draft all physician employment agreements, physician independent contractor agreements and physician service agreements for the System• Manage the day to day legal affairs of all physician joint ventures• Oversee and manage outside counsel in the formation of numerous physician/hospital joint ventures.• Oversaw and managed outside counsel in selling the System’s outpatient dialysis business line to a joint venture owned by both the System and Davita, Inc. • Counsel for the System’s Institutional Review Board, which oversees and manages all clinical trials being performed throughout the System• Draft and negotiate settlement agreements related to various types of commercial and contractual disputes• Work in conjunction with the Finance Department in formulating the System’s business and contractual strategy with respect to managed care contracting
