Serve as a Senior Attorney in the Business Transactions Group at Federal Express Corporation. Work initially focused on real estate matters with focus on leasing. Currently working with general commercial contracts touching on vitually all aspects of business operations of company.

Contract position with a large banking institution headquartered in Atlanta, Georgia providing legal assistance in conducting an audit of residential foreclosure files.

Boutique real estate firm primarily specializing in commercial real estate issues. Work focused on preparing and negotiating lease agreements, amendments, termination agreements and other documents relating to leases and lease defaults. Primarily responsible for preparation of all non-lease related transactional documents handled by the firm. Supported the litigation department by preparing complaints and consent orders as well as conducting settlement negotiations. In addition to legal responsibilities also had substantive involvement in the development, implementation and monitoring of marketing initiatives by the firm to broaden client base and the scope of matters handled by the firm. Efforts included preparation of content for firm web site, organization and preparation of materials for client seminars and participation in various industry organizations.

Representation of clients in broad range of corporate law matters with a primary focus on commercial real estate transactions. Represented clients included buyers and sellers, lenders, landlords and tenants involving office, industrial and retail real estate projects. Complex projects involved new construction, purchase of existing improved property and redevelopment, together with financing packages of traditional term financing, construction financing and conduit lending. Additional work reviewing private placement memorandums, preparation of materials for investors, supervision of other associates and coordination with various partners involved in transactions. Prepared and negotiated commercial loan documents as outside counsel for multiple banking organizations. This work involved the preparation of initial loan documents and closing checklist, legal due diligence for the loan, negotiation of loan documents and execution and delivery of final loan package to banks. In addition to new loans, refinancing projects and loan amendments, work included workout transactions. Obtained extensive, broad-based experience in general corporate law through determination of optimal organizational structures, corporate governance and control issues, and mergers and acquisitions. Work included, but was not limited to, ongoing consultation with clients regarding general corporate issues, creation of new business entities and all documentation related thereto. Transactions have included sales and purchases of stock/units and asset sales of business entities. As a member of the tax group, was responsible for identifying, researching and answering a variety of tax issues that arise in any transaction. Regularly acted as liaison between accountants and lawyers on complex tax issues. Practice included preparation of non-profit organization applications for submission to the IRS and working directly with the IRS throughout the review and approval process.

Engaged in general practice with strong emphasis on real estate, general business/closely held business, taxation and estate planning law. In addition to primary areas of focus, additional responsibility included court appointed cases involving misdemeanor criminal, probate and guardianship matters. Appointed to serve on the Board for the Holmes County Volunteer Guardianship Program from 2003 to 2004.
