• Lead a team charged with managing the company’s securities, finance, compliance, and corporate governance legal work at the public company and subsidiary levels.• Manage global corporate governance and monitor trends and developments in the governance arena, as well as ensure compliance with NYSE and/or other listing requirements as they relate to governance practices and related disclosures domestically and internationally including equity plan approvals and notifications, press release policies, etc.• Prepare and support the preparation of reports filed with the SEC and other regulatory agencies such as Forms 10-K, 10-Q and 8-K, proxy statements, annual reports to shareholders and others.• Interface with the Board of Directors, and provide support, advice and counsel on board matters and concerns.• Advise the company on compliance with periodic reporting, disclosure, and other legal requirements under the Securities Act of 1933, the Securities Exchange Act of 1934, and NYSE rules.• Participate in protecting the company by establishing and recommending risk and compliance standards and expectations while creating/supporting opportunities and paths to allow the company to execute its strategy.• Lead the company’s legal efforts to identify and pursue global strategic transactions consistent with the company’s investment objectives and provide legal counsel to the company during negotiations of transactions consistent with company investment goals.• Direct company’s legal strategy to develop, negotiate, and execute a major transaction to establish a joint venture between two of the largest U.S. coal producers across multiple western states.• Streamline the company’s Information Technology contract negotiation process.• Oversee an international corporate investigation into a fire at a principle longwall mine in Queensland, Australia, and provide legal advice and counsel during recovery and reentry phases of mining operations.

• Provide legal counsel to company management across a broad spectrum of legal issues incurred on a day-to-day basis and develop legal policies and procedures for the company and its operating affiliates.• Provide legal oversight of corporate governance and SEC reporting compliance matters, including legal support related to periodic public filings. • Counsel the company’s senior management and board of directors related to governance and compliance, and ensure the company meets various regulatory requirements across multiple states. • Oversee compliance with the company’s Code of Business Conduct & Ethics, investigate of potential violations, and implement appropriate corrective action where necessary. • Advise company management on mining laws with respect to mining locations, maintenance and protections, environmental issues, and land acquisitions.• Manage, negotiate, and resolve transaction related disputes and direct any resulting litigation.• Develop and implement the company’s litigation strategy for civil, criminal, and regulatory litigation in multiple states and the Federal Mine Safety & Health Review Commission.• Negotiate and advise the company on major business transactions including restructurings, acquisitions, due diligence, financing, options to lease/purchase, land and resource purchase agreements, sales agreements, concession contacts, and government approvals.• Advise management on legal matters associated with employee relations, compensation, benefits, and other labor and employment matters. • Ensure compliance with all applicable MSHA, EPA, and other mining and public land, air, and water laws. • Oversee legal matters related to the company’s comprehensive financial restructuring and implementation of a strategic transaction with a large eastern United States coal producer and marketer.

• Negotiated easements, licenses, and related agreements in connection with pipeline capital projects in multiple states.• Provided legal support for strategic acquisition and divestiture of pipeline and related assets.• Provided oversight to outside counsel in eminent domain and related land-rights litigation in multiple states. • Negotiated and resolved permitting issues with governmental entities for pipeline construction projects.

• Provide legal advice concerning domestic and international sales transactions, negotiate terms with counterparties and other stakeholders, and prepare transaction documents and related instruments.• Provide corporate governance support, including the preparation of materials for the Board of Directors and other internal stakeholders, draft periodic SEC and related filings, and provide legal support to the company’s internal audit personnel. • Provide legal support for strategic acquisition and divestitures, including preparing transaction documents and providing guidance during due diligence process and closings.• Oversee mine safety & health legal matters before MSHA including litigation and appeals, special investigations, settlement conferences, and individual penalty assessments. • Provide legal support to media and investor relations group concerning media inquiries, press releases, investigations, and stakeholder claims. • Conduct internal investigations to ensure compliance with various legal and regulatory requirements, including compliance with the Sarbanes-Oxley Act and the company’s Code of Business Conduct & Ethics. • Provide legal support during company’s Chapter 11 reorganization process, including negotiation of a revised collective bargaining agreement with the United Mine Workers of America, and resolve various creditor claims and liens.

• Draft various transaction documents including contract mining agreements, vendor contracts, purchase and sale agreements, labor and employment agreements, confidentiality agreements, intellectual property agreements, and press releases/corporate announcements. • Oversee civil litigation and various regulatory matters involving mining subsidiaries of Patriot Coal Corporation. • Designed a custom data system to integrate health & safety information previously contained in multiple databases, which saved the company over $100,000 in development costs and automated SEC mine safety & health disclosures required by the Dodd-Frank Act.

• Provide legal support on environmental matters, including litigation oversight on CERCLA claims and settlement of enforcement cases before environmental regulatory authorities. • Negotiate and resolve enforcement cases with various federal and state regulatory agencies, including MSHA, EEOC, and Human Rights Commission. • Provide legal support to Human Resources department concerning employment-related issues including resolution of employee complaints, discrimination claims, workplace harassment and violence issues, hiring and termination decisions, employee privacy, drug testing, criminal investigations, and other personnel matters.

• Practice area focused on deliberate intent civil litigation and commercial litigation. • Panel counsel for a major natural gas transmission company in eminent domain cases, temporary restraining order proceedings, and civil litigation. • Represented banking clients in commercial transactions, litigation, and foreclosure actions.• Conducted depositions and other pre-trial discovery, drafted and argued motions, and participated in hearings in federal and state courts in West Virginia. • Participated in developing a new practice area focused on mine safety & health.
