Provide guidance to businesses required to comply with CCPA and update their privacy policies and website terms and conditions.• Serve as mergers and acquisitions counsel to both buyers and sellers, including drafting, reviewing, negotiating and interpreting various transactional documents such as non-disclosure agreements, letters of intent, merger agreements, stock purchase agreements, incentive stock option plans, asset purchase agreements, contribution agreements, escrow agreements, indemnity agreements and disclosure schedules.• Counsel a variety of 501(c) tax-exempt organizations, such as private foundations, supporting organizations, religious entities, including cemeteries, research institutions and social welfare organizations. Advise clients on tax exemption, conversions to and from tax-exempt status, reporting and government filings, and the creation and operation of supporting organizations.

• Conducted research and drafted memorandum in the areas of Labor and Employment, Landlord-Tenant, Real Estate, Divorce, Civil Rights and Business Law (Contract Disputes and Entity Formation).• Draft motions and opposition to various civil motions including, Motions to Dismiss, Summary Judgment, and Extension of Discovery. • Prepared deposition questions for witnesses and conducted extensive document review in civil litigation cases.

• Negotiate and draft licensing agreement terms for Wenner Media images and articles for Rolling Stone, Us Weekly, Men’s Journal and Glixel. • Inhibit infringement of copyright and trademark by ensuring no unauthorized use of Wenner Media’s name and likeness. • Ensure licenses are fully executed and documented by confirming payment and appropriate use of material.

• Manage and resolve Copyright issues surrounding the implantation of the Paul Robeson Plaza at Rutgers University by obtaining clearance from copyright owner and creating an Orphan Works insurance account where ownership could not be found.• Coordinate with General Counsel by performing legal research and review of contracts, certifications and claims concerning Intellectual Property and Labor and Employment issues. • Provide support to General Counsel by reviewing contracts, drafting memos and responses, cease and desist letters, analyze legislation, assist in investigations, and revising campus policies and procedures.

• Represented for-profit and social entrepreneurs by providing legal counseling on such matters as: pre-venture activities; business planning; entity selection; capital structure, valuation, and finance; intellectual property; employee management issues; and community relation issues.• Negotiated, drafted, and reviewed agreements, contracts and government certificates, filed copyright and trademark requests with the USPTO, as well as ensured client’s understanding of the costs and benefits for each action taken.

• Managed the contracts and licensing of footage for external use both nationally and worldwide with major cable networks, ABC, CBS, NBC, and HBO by creating an extensive documentation of licensed assets. • Created a Footage Barter Agreement with outside sport networks for the exchange of a predetermined amount of media hours throughout the season.

Managed the file base shows for the BIO Channel, Lifetime Real Women, Military History Channel, and the Crime & Investigation Channel. Draft weekly memorandum concerning status of media requested for broadcast. Provide quality control of logs. Maintained schedule of production of programs for senior producers. Managed the Programming Scheduling lists and ensured programs are updated and set for air. Assisted in developing and revamping several short form biographic documentaries.
