My practice focuses on business entity formation involving closely-held and family enterprises as well as business tax issues, commercial lending, mergers and acquisitions (buyer and seller), private equity transactions (including debt and equity financing), and IP protection/commercialization for small and mid cap companies. I represent small to medium size businesses as pragmatic, sophisticated, and efficient outside general counsel I work with a broad base of clients including venture capital firms, life science firms, technology firms, manufacturing companies, and cannabis companies (including CRBs and MRBs).

Under the supervision of firm partners I: - Met with clients in order to garner information about their engagement with the firm and the legal issues presented. - Drafted/edited/reviewed: Bylaws, LLC Agreements (multi- member and sole member), manufacturing and licensing agreements and convertible notes. - Formed corporate entities with the State of Maine including the filing of required statutory documents, obtaining EINs, and drafting the corresponding corporate authorizations.

Manage the Biddeford office and provide legal support to four attorneys. Specific experience includes: - Supporting a senior patent attorney through docketing, file management, instructing foreign associates, and billing. - Supporting Managing Partner through document formatting, interfacing with clients, and general paralegal tasks in a corporate transactional practice. - Provide IT support including facilitating the transition to a new ISP and phone service provider. - Creating and implementing policies for client intake and contact management.

Under the direction of the Office Administrator I, along with a partner, completed the destruction and refiling of thousands of files stored in an offisite facility. In addition, I processed files from creation to destruction and helped facilitate a move of files offsite. This was a temporary summer position.

Worked directly with the Hon. Paul J. Barbadoro and gained the privilege to sit inside the bar during proceedings. I actively participated in conversations with Judge Barbadoro and Clerks on case fact patterns, rulings, and sentencings and attended two full length trials. Additionally, I produced an academic paper on Federal Sentencing focusing on the U.S. Sentencing Guidelines and gained a working knowledge of the Federal Court system and proceedings.
