I focus my practice on general corporate matters including mergers & acquisitions, insurance agent and broker business and transactions, commercial lending, private securities offerings, private equity, venture capital, employment and intellectual property matters. I provide counsel to corporate clients on a wide array of business and finance matters such as formation of entities, capital raising, advising start-ups, the drafting of shareholder agreements, operating agreements, partnership agreements, joint venture agreements, employment agreements, consulting agreements and independent contractor agreements. I assist companies with corporate governance, shareholder disputes, intellectual property issues, leases, dissolution, business succession planning and general counseling of privately-owned enterprises in connection with a broad base of industries throughout the United States. I also represent lenders and borrowers in connection with sophisticated financial transactions, including commercial and industrial loans, asset-based loans, term loans, commercial lines of credit, revolving credit facilities, working capital loans, construction loans, mortgage warehouse credit facilities and securitized loans as well as inter-creditor arrangements. Additionally, I represent non-profit entities with formation, obtaining tax-exempt status, fund-raising compliance, mergers and acquisitions and dissolutions.
