I work with each client to find creative, cost-effective solutions tailored to their needs.I advise public and private companies on business transactions (such as tender offers, mergers, spin offs, and “interested director” transactions) to ensure compliance with applicable federal and state regulatory and statutory requirements. I advise public companies with respect to “shark repellants” and other anti-takeover structural defenses. I counsel public companies with respect to proxy fights, hostile takeovers, advances by activist shareholders, and submissions before the Securities and Exchange Commission (such as annual and quarterly reports, registration statements, proxies, tender offers, Form 8-Ks, and Schedule 13Ds).
