I joined the Hillcore Group as Senior Legal Counsel in 2017. I provide legal advice and services relating to mergers and acquisitions, commercial contracts, employment matters, corporate governance, joint ventures and finance matters.The Hillcore Group is a leading independent Canadian investment firm. We invest predominantly in the life sciences, real estate, seniors living, financial, industrial, forestry and energy sectors. We have offices in Vancouver, Edmonton, Calgary, Toronto and Montreal. Since 2005, we have completed acquisitions, directly or indirectly through our investment funds, with an aggregate asset value in excess of $8.5 billion.

As Director, Senior Corporate Counsel, I acted as primary legal support for many of Tim Hortons' business teams/functions, including Retail, Distribution, Manufacturing, Operations, Ops Excellence, Corporate Communications, Quality Assurance, International (both Operations and Development), Innovation, the Tim Horton Children’s Foundation, M&A and Food Regulations/Food Safety. I was also responsible for leading a number of special projects, such as the establishment of an online minute book system and the development and implementation of a new Crisis Management Policy. As owner of the zero-based budgeting legal package, I was also responsible for overseeing all external counsel legal spend at Tim Hortons. Prior to assuming these roles, I was primarily responsible for supporting our Tax, Treasury, R&D, Quality Assurance and International teams, and acted as legal Project Lead on the successful Burger King/Tim Hortons transaction that closed in December 2014. I have also been responsible for various other legal aspects of the Tim Hortons business since 2013, including corporate/commercial and securities matters, transactions at the public company and subsidiary levels, regulatory filings, equity and compensation plan matters, and governance and Board support.

As an associate at Goodmans, my practice focussed on the areas of corporate/commerical law, mergers & acquisitions, corporate governance and securities law. I acted on a broad range of transactions, including private equity and strategic acquisitions, takeover bids, initial public offerings, debt and equity financings and private placements. I also advised public issuers on continuous disclosure obligations, governance, regulatory and general corporate law matters.Representative public transactions include:- Advising Brookfield Office Properties Canada LP in its financing of Bay Adelaide Centre, West Tower with $405 million, ten-year first mortgage bonds- Acting for Nyrstar NV in connection with its friendly $663 million takeover bid for Breakwater Resources Ltd.- Acting for Tricon Capital Group Inc. in connection with its $63 million initial public offering and listing on the TSX - Acting for Onex Corporation in its $960 million acquisition of Husky Injection Molding Systems Ltd.- Advising the company that is now Migao Corporation in connection with its financing, reverse takeover and concurrent TSX Venture Exchange listing, as well as its subsequent graduation to the TSX and private placements and public offerings for proceeds of over $50 million- Advising a syndicate of underwriters in connection with the $110 million public offering of income deposit securities of New Flyer Industries Inc.

After summering at McMillan LLP and completing my articles, I practiced in the firm's corporate/commercial group. During this time I advised on a wide variety of commerical transactions and related matters, and drafted and negotiated numerous agreements for clients.
