As fund counsel, I provided commercial legal and regulatory advice in connection with new funds and product establishment, restructures, marketing materials, investment management and advisory agreements, feeder vehicles, joint venture and co-invest arrangements, client mandates, continuation funds, carried interest and co-investment vehicles.Partnered with the business to develop and determine future strategy. Examples included Brexit strategy planning and development of Middle Eastern Presence, including the set up of an office in the DIFC.Compliance Role As CF10 and CF11 and as a trusted adviser to the business, I worked closely with compliance consultants and internal stakeholders to design, develop and implement solutions, procedures and a compliance programme to ensure AMPCI UK met its FCA regulatory obligations. I developed and provided employee training programmes. And advised on and developed awareness amongst the business of regulatory change impacting AMPCI, implementing commercial, proportionate and practical solutions. Examples included: AIFMD, FINRA, the US Investment Advisers' Act, MIFID, MIFID II, GDPR & SMCR.

HSBC Alternative Investment Group (“AIG”) is the global alternative investment arm of HSBC with AUM in excess of $29 billion across approximately 55 individual products as of June 2016.As Head of Legal, responsible for providing advice in respect of the entire range of products managed and advised by AIG, including (i) Hedge Fund and UCITs products, (ii) Private Equity products (iii) Real Estate products (both direct real estate and funds), (iv) segregated advisory and discretionary mandates, (v) general contractual work and (vi) global roll out of new product initiatives. In addition, advised on regulatory change affecting both the banking industry and AIG. Examples included: AIFMD, the US Investment Adviser’s Act, BHCA, and the Volcker Rule.

I was an associate in the private funds group. Kirkland & Ellis is a top 15 US law firm with several offices across the US, London, Munich, China and Hong Kong. The private funds team has been consistently ranked in the top three private fund practices in the UK by Chambers & Partners, Legal 500 etc. Advised on the formation of private equity funds (although, I have also advised on the formation of other types of funds e.g. hedge, real estate, infrastructure, venture capital etc.) and associated transactions in which funds are involved (e.g. the purchase and sale of fund interests, the purchase and sale of investments by the funds themselves, restructurings etc). The majority of funds which I formed while at Kirkland & Ellis had in excess of 50 investors with a lifecycle of around 10 years. Accordingly, I was most involved in drafting and negotiating the fund's constitutional documents in order to address the varying commercial, tax and legal sensitivities of the numerous investors.
