Directed tax due diligence and developed tax-efficient structures for over 20 acquisitions/divestitures including Luxembourg holding company and Swiss finance branch structure. Successfully managed numerous federal, foreign and state tax audits. Developed corporate strategy for transfer pricing and negotiated bilateral Advance Pricing Agreement.Designed a restructuring plan for Canadian subsidiaries which allowed for the repatriation of over $100 million with no withholding taxes. This tax planning was sustained by the Tax Court of Canada and the Federal Court of Appeal when they declined to apply the General Anti-Avoidance Rule ("GAAR").
