• Advised hospitals, academic medical centers, health plans, drug and device manufacturers, pharmacy benefit managers, and universities on federal and state health care laws and regulations, including laws related to fraud and abuse, Medicare and Medicaid reimbursement, licensing, privacy and medical records, the corporate practice of medicine, state managed care regulation, pharmacy and controlled substances regulation, drug and device regulation, and antitrust• Advised multiple academic medical center clients on models for structuring the affiliations and financial relationships among the school of medicine, academic medical center, and faculty practice plan, including analysis of fraud and abuse, antitrust, and corporate governance laws• Drafted and negotiated academic medical center affiliation agreements, equity and asset purchase agreements, physician employment agreements, leases, professional services agreements, managed care contracts, articles of organization, bylaws, physician practice management agreements, and compliance policies• Represented providers in litigation and government enforcement matters relating to Medicare and Medicaid reimbursement, the federal Stark law, the anti-kickback statute, and the False Claims Act• Represented private equity clients in equity and asset acquisitions involving health care targets

• Conducted primary and secondary research to analyze best practices and trends in the hospital and health plan industries• Completed reports for hospital and health plan marketing and planning executives on topics such as models for establishing a neuroscience center, strategies for providing financially sustainable behavioral health services, strategies for overcoming specialty hospital competition, and development of health savings account products
