【Contract Review】● Manage the company’s contract templates in order to protect the company’s intellectual property and minimize the company’s exposure to liability without compromising ability to conclude customer transactions; ● Proactively escalate contract terms and conditions that deviate from company policies particularly in the areas of Intellectual Property protection, liability limitation, infringement indemnification, and revenue recognition; 【Business Supporting】● Support company business by acting as a valued, trusted business partner to the Company’s management team;● Provide legal advice and support to HR department on local and foreign employment related affairs and work with outside law firm to handle labor disputes; ● Review and provide legal support to business transactions. Participate in the business negotiation with customers and partners.【Compliance】 ● Work with Siemens Compliance officer to handle compliance matters and ensuring the business unit operate with compliance requirements;【Board Meeting 】● Present the Board meeting, record the proceedings of the meeting and draft the meeting minutes, Board resolutions and shareholder resolutions;【Merge and Acquisition】 ● Support the integration activities for any acquisitions by the Company by completing any assigned integration tasks on time and by supporting transactions involving acquired companies’ products as needed and in a manner that is consistent with the Company’s Legal standards.【Intellectual Property Protection】 ● Support anti-piracy department and outside law firms to combat with the use of piracy software; Inter-Company Business● Collaborate with regional and global company legal departments as needed in order to coordinate resources and to address legal topics that affect the company.【Legal Training】● Drafting, localization and updating of training materials and provide interactive training to internal/external business partners.

● Credit card risk control general management and report;● Follow up and monitoring high rick credit card transaction through remote database supervising system;● Closely check up with card holder to ensure and maintain the credit card transaction safety.

● Draft and review various contracts and legal documents in Chinese and English;● Participate in corporate structure discussion and provide advice from legal perspective;● Handle Intellectual Property protection of the company and coordinate reaction to infringement;● Participate in negotiation with customers regarding various corporate business matters;● Responsible for license application and annual renewal. ● Monitor and report on local regulation changes and its impact to the company;● Work with Sales and Marketing department to fulfill product registration plan;● Contact with government and authorities and prepare corresponding documents;● Provide training to the colleagues.
