Responsibilities• Primary internal source for researching, planning, modeling, analyzing and drafting memos for international and domestic planning and audit defense initiatives (e.g., M&A, FIN 48 positions, spinoffs, PLRs, restructurings/ reorganizations, outbound/inbound, partnerships/joint ventures, FTCs, NOL planning, leasing, financial products/derivatives, R&D, benefits/compensation/HR issues).• Point person and directly responsible for the IRS audit, managed Canadian, LATAM, APAC and other worldwide audits and controversies. • Tax Counsel on real estate and tax matters to BU’s and Shared Services Groups (Treasury, Controller’s, Executive Compensation, Benefits, Payroll, HR, Legal Depts. etc.). • Managed and partnered with outside counsel on M&A/due diligence and ETR and cash tax management planning and savings initiatives.• Review of the U.S. consolidated income tax return.• Review of tax accounting function for the US consolidated group, including consolidated income tax provision under FAS 109 and FIN 48, RTP, internal controls in compliance with SOX 404 and RTP process.• Recruited, built and mentored tax department; implemented bi weekly, informal lunch and learn sessions.
