Manage operations of the Authority’s Legal Department concerning Multifamily Financing and Asset Management. Develop and implement major goals to support functional objectives concerning Multifamily and Asset Management and across broad legal functions of the Authority as a whole. Collaborate across internal departments in structuring programs and ensuring compliance with regulatory requirements, the Authority’s mission and business objectives. Ensure regulatory and other legal compliance and assist in the creation and implementation of policies and procedures in the Multifamily and Asset Management programs and portfolios. Supervise the legal team handling Multifamily Financing and Asset Management transactions. Train attorneys, paralegals and internal stakeholders concerning legal operations, programs, policies. Handle complex Multifamily & Asset Management transactions and address issues raised by the transactions teams. Identify and analyze legal issues, drafts key documents, forms, loan documents, presents clear recommendations to directors, management and executive. Provide hands-on counsel to all levels of staff, the Deputy General Counsel, the General Counsel and the executive staff concerning Multifamily & Asset Management legal operations.

Provide training and supervision to Staff Counsels and Senior Counsels on all aspects of real estate closings and on post-closing issues that arise on projects in the Authority’s portfolio; deliver feedback to the Deputy General Counsel and General Counsel on attorney performance.Close complex loans and grants under the various financing of affordable housing loan programs and other programs administered by the Authority; Draft and negotiate loan and grant documents and review and approve all due diligence submitted by borrowers; Handle post-closing issues on loans and grants, including, but not limited to, transfers of physical assets, complex loan and grant modifications, workouts, and advise on strategy for handling defaults and other issues. Handle major projects typically outside the scope of the day-to-day activities of the Legal Department; offer legal and business advice to various departments within the Authority, including but not limited to structuring new programs.Manage the activities of outside legal counsel retained to handle real estate transactions, foreclosures, litigation and other matters.Advise Authority staff on issues arising under the administrative law areas.Draft and negotiate complex contracts; draft rules and regulations governing Authority programs.Assist in other matters as assigned by the Deputy General Counsel or the General Counsel.

A substantial portion of my responsibilities at the Authority is to document loans and agreements for the Authority's financing of developments throughout Illinois. I also assist development officers and asset managers with the legal and title issues related to their portfolios.These portfolios consist of multi-family housing developments, senior housing, assisted living facilities, and supportive housing. Most of these ventures are financed through federal, state and local incentive programs as well as private capital funding.

Review supply and vendor agreements, assess vendor capabilities, and integrate achievable milestones to keep vendors accountable and minimize disputes.Guide companies through mergers and acquisitions and negotiate, structure and draft agreements to complete such transactions; coordinate with management and other counsel to complete due diligence and related regulatory filings. Provide legal support to management and human resources with respect to employee issues, including: implementation and enforcement of employment handbooks, policies and procedures; advising and assisting in disciplinary actions to achieve consistent application and compliance with applicable regulations & industry guidelines; and preparing and delivering related training programs.Assist companies in protecting and monetizing their intellectual property and technology; negotiate and draft licensing agreements, prepare trademark and copyright registrations and handle infringement issues. Counsel businesses through complex real estate acquisitions and financing; negotiate, structure and draft agreements to complete such transactions; coordinate and complete due diligence and handle title issues; negotiate and draft commercial leases, lease-backs, easements and related agreements.Identify and analyze complex legal and regulatory issues and their effect on operations, and guide management through a strategy to incorporate and comply with applicable regulations. Provide litigation support and advice on actions to resolve disputes and/or end litigation.

Assist corporations to establish, improve, implement and enforce internal policies and procedures to support compliance initiatives, including preparing and delivering related training programs. Develop master agreements, contracts and forms used by businesses, such as service and consulting agreements, licensing arrangements, confidentiality/non-disclosure and non-competition agreements, purchase orders/quotations, terms and conditions, privacy notices, and legal disclaimers.Draft and negotiate a variety of commercial contracts and transactional agreements supporting corporate operations and business transactions. Provide legal support to management and human resources with respect to various employee issues, including implementing and enforcing employment policies and procedures.
