Serving as Corporate Secretary and reporting directly to the Chief Executive Officer as the sole attorney supporting the legal function of this pre-IPO startup, in all aspects of the firm operations, including, but not limited to, advising senior management and the Board of Directors as a member of the executive team, negotiating and structuring terms related to financing rounds, leases, joint development agreements, product evaluation agreements, mergers and acquisitions, and HR, and advising upon a sundry of other relationships and agreements.

In conjunction with lead counsel, represent and counsel investment management client in its winding down of its family of hedge funds, which previously totaled over $8 million in AUM. Negotiate licensing and other agreements for various international private equity and corporate clients. Successfully negotiated the acquisition of the market leading British Institute of Homeopathy Ltd based in Egham, England, UK and acted as general counsel to acquirer British Institute of Homeopathy International. Consulted around technology licensing for OTES, a Kuwaiti environmental services business.

Participated in management of the contract clearing process of market leading software innovator. Negotiated over 120 transactions on behalf of firm against Fortune 500 clients. Contributed to revisions of various standard forms, including software license agreements, SaaS agreements, non-disclosure agreements, and managed services agreements. Co-created the firm’s first reseller agreement, which targeted the British publishing market.

Managed a total of four fund of funds that invest in hedge fund managers focused on the United States, Europe, and MEA.

Part of management team for the Global Equity Arbitrage Fund (GEA) with primary responsibility on North American special situations that include merger arbitrage, distressed and other event-driven strategies.

Senior research analyst for broker dealer that provided “round-the-clock” coverage from its New York, London, and Singapore desks.

Covered the European telecommunications industry with a concentration on wireline and data sectors (i.e., CLECs and Long Haul).
