My scope of work included due diligence and drafting the risk factors for the terminal's assets, analyses of the oil transhipment agreements, and discussions on take-or-pay clauses.• Assisted Guara Norte (SBM & Mitsubishi) in issuing USD 850 million senior notes secured by a fiduciary and conditional assignment of the charter and services contracts of the FPSO Cidade de Ilhabela.Legal advice:• Assisted SBM in an emergency response caused by an oil spill from FPSO Cidade de Anchieta.• Assisted Equinor in the project planning and development of the BM-C-33 offshore gas pipeline and related subsea works.

M&A and asset deals:• Represented CBO in the purchase of their new high-end PSV and AHTS fleet: three foreign vessels in Europe and two newly-built vessels from a shipyard in China, and matters related to ship registration, flag suspension and importation.• Acted as Brazilian counsel to OOS Energy in acquiring the semi-submersible 'ODN Delba III', including discussions on maritime liens and arrest.• Acted as Brazilian counsel to Toisa in selling the MPSV 'Toisa Valiant' under its Chapter 11, including discussions on the ship's mortgage.• Acted as Brazilian counsel to Mitsui in acquiring a 50% stake in AKOFS Offshore (Aker Group) for USD 142 million.Contracts:• Assisted SBM in contractual matters with Petrobras for constructing, chartering and operating the FPSO Mero 2.• Assisted CBO with risk assessment and review of charter and services contracts and assistance on procurement by E&P companies for its operations in Brazil.Finance:• Assisted Hidrovias do Brasil in its IPO process, which raised around BRL 3.4 billion, with contractual and regulatory due diligence and risk assessment on the shipping and port assets.• Acted as Brazilian advisor to a syndicate of banks led by ING on the financing of Trident for acquiring the Pampo and Enchova oil fields from Petrobras for USD 1 billion - in the discussions for registering collaterals on the platforms.Legal advice:• Assisted Golar Power with regulatory aspects for implementing small-scale LNG projects by inland shipping and cabotage.
