Petrodata Ltd. – Aberdeen, Scotland Financial advisor to founder during the sale of Petrodata, a market intelligence firm, to a private equity fund and negotiated a strategic joint venture with Schlumberger’s IndigoPool, a premier energy portal.Mountain Oil & Gas – Shelby, MTPurchased Mountain, an operator of 125 wells & 170-mile gas gathering system with 3.3 Bcf of gas and 250k Bbls of oil. Doubled oil production, increased gas deliverability by 11%, and resolved litigation resulting in a sale for 7.5x cost.

Actively involved in oversight of independent special investigation, reconfiguration of management, engagement of new auditors for a five year restatement, oversight of shareholder lawsuits, recruiting an independent director and CFO, avoiding delisting, $350mm bank syndicate restructuring, and merger with two affiliated entities into PostRock.

Key governance issues included two large transformative acquisitions, listing exchange transition, replacing CEO & CFO, reverse stock split, a $125mm and $50mm secondary, $300mm high yield offering, FCPA oversight, merger integration, and investigations into whistleblower events. Taken private in 2013.

Largest producer of natural gas in the Cherokee Basin. Closed $60mm capital investment from White Deer PE firm and $300mm 14 bank syndicate restructuring in a soft gas market.

Growth financed through equity, a PIPE, and a $115mm convertible note. Originally representing the largest investor group, was integral to a recap and turnaround which replaced management, moved the firm from the Toronto to the American, and NYSE. Key governance issues included moving domicile to Delaware, establishment of Board committees and charters, director recruitment, senior management staffing, goodwill impairments, acquisition evaluation, strategic planning (Cleantech initiative), succession, investor outreach, and pay for performance programs.

The $180mm private equity fund targeted oil and natural gas exploration and service industries in the U.S., Canada and U.K. Investments of $1-25mm facilitated financial restructurings, consolidation, growth, follow-on acquisitions, as well as certain public securities. Approximately 75% of the fund’s profits were generated from private and distressed investments, with gross annual returns of 38%; 17% annual IRR after fees over 7.5 years outpaced the energy sector by six times & the S&P 500 by 60%.Investments included purchasing public and private distressed debt and equity, private placements, direct investments in producing properties, raising debt and equity capital, mergers, acquisitions, and divestitures. Responsibilities included deal origination, investment screening, financial modeling, due diligence, competitive analysis, structuring and executing transactions, forming and managing an oil and gas company, monitoring portfolio company performance, and holding disposition auctions.In addition, involved in two hostile proxy contests, oversaw numerous legal actions, assisted an E&P firm through Chapter 11. Sub Sea, the fund’s largest investment, was a $68mm privately negotiated deal, 50% syndicated to Goldman Sachs. Monitored performance, prepared yearly forecasts, analyzed returns on capital and long-term vessel charters, and implemented an incentive compensation plan. Initiatives doubled revenue to $140mm.

Canadian based oil & gas exploration company until purchased by Ranger Oil Ltd. in 1995; $30mm in revenue. Represented largest shareholder. Key governance issue was limiting side deals by management/affiliates that were inequitable or could appear inappropriate to Czar’s shareholders.
