• Integral part of a team of 4 individuals who applied for and obtained a market infrastructure licence and launched an exchange to trade equity securities in South Africa. • Providing legal advice to management and Board on all aspects of the enterprise including commercial, regulator, competition, data and corporate finance.• Responsible for drafting and vetting all agreements including data agreements, master services agreements, software licence agreements, SLAs, software licence agreements, all shareholder agreements, share subscription agreements, shareholder loan agreements and other agreements relating to corporate finance transactions. • Responsible for assessing the legal framework and implications of implementing an exchange licence. Drafting the rules, directives and listing requirements required for the application for the market infrastructure licence as well as the compilation of all sections applicable to supervision, regulation, investor protection and enterprise risk management to ensure compliance with all the applicable statutory and regulatory requirements. • Was instrumental in the successful application for a stock exchange licence and implementation of the business to achieve a go-live within a 6-month period from granting of licence. • Responsible for all regulatory activities at A2X including ensuring compliance with the Financial Markets Act and Financial Sector Regulation Act, related regulations and board notices and all other statutory obligations as well as ensuring the ongoing maintenance of the stock exchange licence.• Ongoing liaison with A2X regulators, specifically the FSCA and Prudential Authority of the Reserve Bank.• Previous Member of the Directorate of Market Abuse of the FSCA.

• Executive responsible for corporate services.• Ensuring compliance with the Companies Act, the JSE Listings Requirements, the Securities Services Act, Financial Markets Act and all other statutory obligations of the JSE, its subsidiaries and related entities.• Providing general legal advice to the JSE executive, other management and main and sub-committees on a wide range of legal issues.• Company Secretariat: Compiling, approving and implementing the structures required to achieve compliance with best practice on corporate governance with specific emphasis on the King Reports on Corporate Governance, Companies Act and international best practice including creation of a board charter, facilitating board evaluations, integrated reporting, board and committee composition, board succession planning, trusted advisor to the Board, statutory disclosures and custodian of dealing policy.• Administering all matters relating to JSE shares and shareholder communication.• Enterprise Risk Management: Facilitating the successful creation and development of the enterprise risk management function.• Human Resources: Fulfilling the Human Resources Function for the period January 2012 until December 2013, which entailed successfully restructuring the division, including the removal of existing and appointment of a replacement General Manager: HR as well as commencement with the process of the transformation of the organisation to a performance driven environment with best HR practices.• Assisting and providing legal advice to the team that successfully negotiated the purchasing of the South African Futures Exchange and the Bond exchange of South Africa.• Ensuring on going liaison with JSE regulators, specifically the FSB (Now FSCA).• Principal Officer and Trustee of the JSE Pension Fund.✔ See my achievements listed above in the Summary.
