I have over fifteen years of experience in the field of executive compensation and employee benefits. My current practice focuses on advising public and private companies, boards of directors, private equity funds, and members of management on executive compensation and employee benefits issues arising in the context of mergers, acquisitions, initial public offerings and other extraordinary corporate events. In addition, I regularly counsel clients on the practical design considerations of their compensation programs and help clients to navigate the complicated intersection of tax, accounting, employment, corporate and securities laws, as well as shareholder relations issues that arise in compensation matters. In doing so, I frequently provide guidance on tax laws (including laws governing deferred compensation, golden parachute arrangements and deduction limitation rules), securities laws (including SEC reporting and disclosure requirements and registration issues) and compensation-related litigation matters.I work extensively with companies at all stages of the corporate lifecycle, with a focus on emerging growth companies, to design, implement and maintain their equity plans, severance programs, cash incentive plans, deferred compensation arrangements and change of control agreements. In addition, I regularly counsel executive management teams and individual executives on the adoption, revision and negotiation of executive employment, retention and severance agreements. With respect to public companies, I am actively involved in an issuer's annual compensation calendar, including issue spotting on plan design changes, drafting CD&As and proxy proposals, supporting shareholder outreach campaigns, providing board/management education on regulatory changes in the benefits and compensation field, and working to minimize the risk of compensation-based litigation.
