Pzena Investment Management Europe Limited is a wholly-owned subsidiary of Pzena Investment Management, LLC, and is authorized as a UCITS management company by the Central Bank of Ireland.

As an associate in the Investment Management Group I represented U.S. and non-U.S. investment advisers sponsoring hedge funds and private equity funds. My experience includes all aspects of the fund lifecycle, including formation and fundraising, investor negotiations, ongoing operational issues, restructuring, and wind-down. I was the lead associate on many domestic and offshore private fund launches and restructurings, which included advising on structure and product terms, as well as drafting, negotiating, and reviewing key fund legal documents, such as private placement memoranda, limited partnership agreements/limited liability company agreements, subscription materials, investment management agreements, and side letters. I also advised investment advisers and financial institutions on operational issues relevant to their business and ongoing legal and regulatory changes, including the Volcker Rule, systemically important financial institutions issues, Investment Advisers Act registration and compliance, and CFTC registration. I was a core member of the firm-wide Dodd-Frank Act working group, advising all manner of financial institutions on Dodd-Frank Act analysis and strategy as it affects the investment advisory space.
