The Filta Group, Inc. is the parent company of Filta Environmental Kitchen Solutions which is an Orlando, Florida based franchisor selling a mobile-based franchise system with more than 150 franchisees throughout the United States. Responsibilities included contract negotiations and review, managed numerous claims and lawsuits against the parent company made by former franchisees; drafted the company’s 2009 and 2010 Franchise Disclosure Document ("FDD"), and amended versions of the 2008 and 2009 FDD, Non-Disclosure Agreements and Non-Competition Agreements, franchisee and employment separation agreements and releases. Managed litigation files with outside counsel formulating defenses as well as extensively researching and reviewing state and federal statutes and relevant case law. Performed general legal services resulting in a net reduction of legal expenses and an increase in company productivity. Provided company executives and Board of Directors a weekly update of all legal matters.

Xenerga, Inc. was an affiliated company of The Filta Group, Inc. also based out of Orlando, Florida selling a turnkey biofuel plant within the United States to joint–venture partners. The joint-venture partners would then operate the plants paying a monthly royalty fee. As General Counsel was responsible for drafting vendor, contractor and subcontractor agreements for equipment purchases and installation services, contract negotiations and review and adherence to meeting all company required milestones after final execution; litigation management of outside counsel. Additionally, performed other general services such as legal research and analysis of state and federal statutes and case law, document review and business planning and strategy. And provided monthly and quarterly follow-up to company executives and Board of Directors.

The CASE division of HHCP provides design and construction forensic services utilizing a wide range of disciplines from architectural, engineering and legal supporting attorneys, owners, design professionals and contractors prior to and throughout the litigation process. Specific services and issue areas include standard of professional care opinions, design errors and omissions, water penetration, construction sequencing, delay/constructive acceleration and contract document quality. Reviewed, evaluated and analyzed all forms of design and construction documents; electronic document review utilizing Concordance and Summation on a $25 million design error and delay claim by the owner against the design professional team, the case ultimately settled for policy limits. Drafted and prepared several standards of care opinion reports. Project files included an owner claim against the design professional for substantial delays causing significant cost over-runs on a $120 million hospital that ultimately settled for policy limits; and two water intrusion repair/remediation claims - one a thirteen building apartment complex and the other a thirty-six building planned residential town home community. Also assisted in the defense of the state's largest property casualty insurance carrier for alleged water intrusion damages related to the 2004 Florida hurricanes. The largest of these, an 18-story high-rise condominium tower with an alleged $25 million claim by the HOA ultimately went to trial resulting in a net jury award of under $5,000,000. HHCP estimated hurricane related damages at around $4,000,000.

Intrawest, now Alterra Mountain Company, s a Vancouver based worldwide resort developer having Florida operations master planning resort style communities, as well as developing, building and direct selling high-end luxury condominiums and town-homes within those developments. Managed numerous construction, design defects and breach of real estate purchase agreement claims and lawsuits. Closely worked with outside counsel at developing legal strategies; attended multi-party mediation conferences. Notable negotiated settlements included resolution of a multi-million dollar construction delay claim against general contractor, settlement of several multi-million dollar repair and remediation suits filed by homeowner associations and the resolution of multiple claims for violation of the Interstate Land Sales Full Disclosure Act. Standardized professional services agreements, Owner/Contractor agreements and other design and construction documents.

The firm's practice focused on the areas of personal injury, medical malpractice, legal malpractice, premises liability, and contractual disputes - primarily involving individual homeowner, automobile and life insurance policies. Worked hand-in-hand with firm attorneys developing legal argument and settlement strategies. Case load typically numbered between 80 and 120 files. Drafted complaints, answers, motions, MSJ, discovery and responsive pleadings. Conducted extensive legal research followed-up by written analysis on state and federal case law and statutes.
