Manage a team of lawyers and legal professionals responsible for providing trusted legal advice to the Consumer Lending Division of Wells Fargo (covering credit cards & merchant services, home lending, auto lending, personal loans, and student lending)

Lead the Marketing, Digital & Project Management Legal Teams in support of Chase’s marketing and digital banking efforts. Trusted advisor to senior business leaders in such areas as digital money movement, data aggregation, sponsorship opportunities, and the engagement of spokespersons and “influencers.” Member of the Leadership Team for the Legal Department of Chase’s Consumer & Community Banking line of business, which houses all consumer-facing businesses (e.g., Credit Cards, Consumer Banking, Auto and Home Lending) within JPMorgan Chase. Extensive interaction with bank regulatory agencies (the OCC, the Federal Reserve, and the CFPB). Responsible for the engagement and management of external counsel.

Led the Digital & Strategic Transactions Legal Teams in support of Chase’s efforts to expand its consumer banking capabilities in the digital and mobile arena through organic and inorganic (i.e., acquisitions, strategic alliances, etc.) growth initiatives. Responsibilities included advising on the strategic benefits and risks associated with paperless statement delivery, third party access to Chase customer data, and partnering with “Fintechs” to offer innovative digital products and services.

Led the Card & Payments Advisory Group, a team of seasoned attorneys and legal professionals responsible for providing guidance to senior executives on the strategic, legal and regulatory aspects of Consumer Payments, and the issuance and maintenance of consumer, small business, and commercial credit card accounts. Strong knowledge of consumer lending and privacy regulations, including Regulation Z, and the Gramm-Leach-Bliley Act.

Supervised a team of attorneys and legal professionals in the provision of legal support to all facets of the Global Commercial Card (“GCC”). Responsibilities included: advising GCC business leaders on strategic alliances, drafting and negotiating global commercial card agreements and data privacy agreements, and supervising the activities of outside counsel.

General corporate, technology and intellectual property law practice. Extensive experience structuring and negotiating the business and legal terms of strategic alliances and venture capital investments, and mergers and acquisitions in the technology and entertainment arena. Responsibilities included: negotiating and drafting venture capital investment agreements and consulting agreements, and coordinating and conducting due diligence reviews.

Extensive involvement in all aspects of corporate transactions, with an emphasis on mergers and acquisitions. Responsibilities included: negotiating and drafting stock and asset purchase agreements, merger agreements, articles of incorporation and by-laws, private placement memoranda and proxy statements, and facilitating related ’33 and ’34 Act filings.
