Oversee management of projects for clients engaging in a variety of energy, real estate, and probate matters. Energy practice includes representing and advising clients in various upstream transactions, including but not limited to performing due diligence review in asset acquisitions; drafting various oil and gas business, leasing, and contractual agreements, lease provisions, assignments, and other related upstream and midstream contracts and instruments; also includes drafting mineral acquisition, drilling, and division order title opinions, and mineral title reports for banks and lenders; and advising clients on a variety of issues pertaining to operations, pooling, royalty payments, and other oil and gas matters. Particular highlights include: (i) negotiating and resolving a payment dispute on behalf of numerous working interest owners involving nearly 75 mineral owners and 200+ non-participating royalty owners, (ii) negotiating and obtaining a subsurface wellbore easement on behalf of an operator from difficult surface owners that allowed an operator to maintain their drilling schedule, and (iii) assisting special counsel in the 2016 Midstates Petroleum Company Chapter 11 Bankruptcy proceedings. Real estate practice includes drafting formation instruments for LPs, LLCs, and other entities; deeds of trust, mortgages, and promissory notes; opinions pertaining to title ownership and issues; purchase and sales agreements; disclosures; and preparation of closing instruments. Also includes advising clients on loan modifications and foreclosure matters, removal of liens on property (including mechanics liens and federal tax liens), and advising clients on broker/agency representation issues. Served as lead attorney in state district court civil action regarding easement dispute, and was responsible for drafting pleadings, conducting discovery, and negotiating settlement.
