Aspens Charities has recently been formed by the merger of two aligned charities, Autism Sussex (of which I was a trustee, from October 2015) and Larkfield with Hill Park Autistic Trust (known as Pepenbury).

Servicing a wide range of organisations on governance, regulation / compliance and company secretarial / legal issues, I am currently providing governance/company secretarial services both operationally and at board level within the charitable sector to well known charities in the education sector ,health research sector and to a learned society.

I was brought in to CRUK initially to re-energise the company secretarial team following a long period of ill health absence by the former company secretary. Following a re-structure of the team, I then put in place governance processes, a team performance system and carried out a governance review working closely with the chairman and chief executive, as well as providing governance advice to the board of trustees.

Jointly headed up the corporate services company secretarial team which provided services to the bank's 1700 subsidiaries around the world. I covered a period of maternity leave

Camelot Group plc is the operator of the UK National Lottery. It was established by a consortium of five shareholders in 1993 when I was appointed to set up a company secretarial team and advise the chairman and board of directors on matters of corporate governance.Key duties included accurate recording of minutes at regular Board, Board Committees (Audit, Risk and Security, Remuneration, and Nomination) and Shareholder meetings of the Company; maintaining compliance by the company with the complex provisions of a Shareholders’ Agreement, the Company’s constitutional documents, the regulatory framework, company secretarial filings, statutory books, the law and best practice, together with health and safety legislation and data protection; a key liaison role with board members, executive directors, functional directors and shareholders;drafting of board and committee papers; writing the annual Directors’ report, Report on Corporate Governance and Report on Remuneration

Additional to company secretarial duties I managed a small regulation team and acted as the key interface with the regulator (NLC), at Commissioner, executive and staff level; negotiated with the NLC the terms of the third operating licence for the National Lottery; represented the company at key meetings with the NLC as part of the competition process for the third licence; advised the Board and internal management on matters of regulation (operational and policy issues), ensured all staff were aware of licence requirements, defended breach allegations from the NLC.
