• Provided broad corporate and commercial advice in the areas of Mergers & Acquisitions and Corporate Advisory.• Mergers and acquisitions experience included share sales and asset/business sales, and project management of vendor and buyer due diligence.• General corporate experience included Corporations Act and corporate governance advice; drafting constitutions and shareholders’ agreements; preparing notices of meeting and draft resolutions for meetings of shareholders and directors; drafting director’s deed of indemnity; advising on continuous disclosure requirements; drafting dividend reinvestment and employee share plans; general advice on intellectual property, employment, real property, tax/GST and litigation; and Capital raising - IPO’s.
