It has been one of the first managers to launch a credit fund initiative on the Italian market and the first sub-threshold manager authorized under the Alternative Investment Fund Managers Directive (AIFMD) in Italy.Giordano joined Zephir since its start-up, taking part in several key activities like, amongst others: the authorization procedure under the supervisory powers of the Bank of Italy (and Consob), financial modeling of the economics and returns of the manager and the proposed AIFs; drafting of the strategy and governing rules of AIFs; drafting of marketing material; fundraising, including severe investors' due diligence; scouting of investment opportunities; and so on.Zephir is currently raising a € 200+ mln closed-end reserved AIF for the Italian mid-market private debt. Dairy cheese B2B, € 25+ Mln, Turnaround, Family BO & ExitMostly captive of its Italian sister company, Käserei became nearly insolvent because of the crisis of the former in late 2010.Giordano joined Käserei in such a challenging time, supporting his family to buy-out the company, to prevent insolvency (among others, by an out-of-court settlement with the main creditor), and to manage the turnaround along a striving path. Having turned Käserei into a profitable market player, a first exit was executed in 2013 by selling a significant stake to a leading Italian brokerage company (but retaining control over the business). The full exit happened in 2019, after several years of increasing results, by a trade sale of the entire shareholding with significant value creation for both sellers.In both transactions, Giordano acted as the sole advisor (other than the legal advice concerning the SPA) for the company and the seller(s), executing the transactions end-to-end (scouting, valuation, negotiation, due diligence, closing, and related).

Biotech, Start-up / SeedCryolab is a Service Provider in Biobanking, Cryobiology, and related activities. It was established in 2012 as a university spin-off by the "Tor Vergata" University in Rome and a pool of private investors (Giordano amongst them); since 2015, it is part of the SOL Group, a leading multinational group listed on the Italian Stock Exchange. Giordano took part in the Cryolab project by a "family, friends, and fools" approach (meaning trustworthy sponsors and no due diligence). As a result, several unexpected shortcomings surfaced very early: missing debt facilities for Capex financing, uncertain time-to-market because of not-disclosed regulatory issues, lack of a management team and, a prospected top-line pipeline nearly inexistent. To preserve his investment, Giordano found himself compelled to support the company until a viable exit. He engaged in several critical tasks like arranging credit facilities, facing creditors to obtain grace periods, business planning and business development, shareholders coordination. Once authorized to operate by the competent authority (Ministry of Health), the company became marketable and the divestment feasible: Giordano coordinated and executed the divestment process of the "private" investors (including some litigation).

Giordano joined the company in August 2010 during a special situation arising from a shutdown of the operations and a worldwide product recall imposed by Italian authorities.In a context of commercial turmoil, high leverage, defaulted debt facilities, significant cash burn, and a stranded generational transition, Giordano supported his family in the buy-out of the company and the subsequent restructuring, which successfully concluded with the sale of the business to a leading Italian competitor under a Certified Turnaround Plan pursuant to Article 67 of the Italian bankruptcy law (including, among other things, the demerger in a newco of the real estate assets and the related debt facilities, the disposal of the business by an asset deal, and an out-of-court inter-creditors agreement).As CFO and board member, Giordano took an active part in managing the crisis and shaping and executing the divestment process.
