This is the General Partner for an LP established to finance residential sections for a building company.During my time as chair I have led the establishment process and raised bank funding

I have been appointed to ensure council appropriately discharges its responsibilities for audit and risk management.

Since my appointment I have successfully brought governance policies and processes up to date, negotiated an investment charter with Runanga (Parent) Board and implemented a pipeline of investment opportunities. I have also conducted an evaluation of a subsidiary company (operating) and proposed divestment. I am also the Chair of a company DGH GP Ltd which is the general partner of a LP financing residential sections for a building company which is 50% owned by NMDL. I have driven the establishment process of this LP and the raising of finance.

Pulse is the General Partner for Pulse Energy Alliance LP. During my time on the board the company has successfully raised capital through a convertible note issue, raised baking finance and restructured into an LP.

Chairman (since March 2014)Director (appointed 2001)I am the first board chair of BHL to not be a clinician. As well as being on the board I have also chaired the remuneration subcommittee and was one of two board representatives on the project control group which has overseen the successful construction of a new hospital six years ago (approx. $35m) and the construction of a second stage (approx. $12m).Both projects were delivered on time, under budget and delivered more than was originally planned which is critical as the charitable trust 100% shareholder had no additional capital to contribute.The company has been transformed from a “cottage hospital” to the best performing and most modern private surgical hospital in NZ.During my time on the board the shareholder has seen a more than tenfold increase in the value of their investment in the company.This was achieved by developing a strategy that understood the market and the key drivers of cost and delivering on this plan consistently. Because of my financial background I have also lead the negotiations with the companies’ bankers for funding to complete the two major projects mentioned above.

Independent Expert Appointee (appointed 2014)I was appointed to this committee through a contestable process and am one of two independent appointees. Since my appointment the effectiveness of this committee has improved significantly which has been acknowledge by the auditors and the Councillors.

This committee considers the appropriateness of proposed increases in patient part charges that are in excess of government recommended guidelines for General Practitioners. It has to consider viability of the practice fairness to patients and fit with prevailing market rates of patient part charges in the vicinity.

When I retired from Deloitte in June 2013 (mandatory under partnership agreement when you turn 60), I did not want to give up work so I set up Naylor & Associates Limited to undertake the advisory work that I still do both in my own name and also contracting back to Deloitte.

Chair Audit and Risk CommitteeDirector of Two Subsidiary CompaniesThis company owns the lines network in the Buller District and an interest in an electricity retailer, Pulse Energy Alliance LP.During my time as a director of BEL I have driven the updating and completing of company policies and significantly improved the quality of financial reporting to the board and the timeliness and efficiency of the annual audit and regulatory audit processes.During my time as a Director I was closely involved in taking 100% control of PEL, delisting it and selling into an LP with Pioneer Energy Ltd.I am also a director of subsidiary company Electro Services Ltd and BEL Investments (NZ) Ltd.

During this time I was an assurance and advisory partner. I established the advisory practice in Hamilton which grew to have a staff of 10 and started the Deloitte health sector industry group.During this time I worked with senior management and those concerned with governance of clients predominantly focusing on performance improvement.

When I was first appointed the school was making deficits and having to defer capex. During my time on the board we turned around the performance of the school to consistently produce surpluses and eliminate the capex backlog.The school is one of the top 10 performing girls’ secondary schools in New Zealand academically, in sports and the arts.

Councillors are elected to the position, elected governance bodies often don’t have the requisite skills to be able to discharge their responsibilities, to address this I was appointed as an independent expert governance and finance resource. I was on this committee for approximately ten years.During my time on this committee the council got very positive feedback from their auditors who described Thames Coromandel District Council as their “best council client”. This resulted in lower audit fees, a strong control environment and a strong risk management culture.
