I am currently working as Unit Head Corporate Affairs and Company Secretariat (VP-II) with U Microfinance Bank Limited. I am managing the corporate governance of the bank along with compliance of following functions ;- Ensure compliances of all regulatory requirements as per the guidelines of Corporate Governance Rules, Companies Act, 2017, Microfinance Banking Ordinance 2001 and Prudential Regulations for microfinance banks. - Identify the key statutory compliances and corporate actions with the relevant stakeholders to set the timelines along with compliances within the regulatory timelines.- Assist Company Secretary for Board and Committee meetings in preparation of agendas and holding of meetings as per the regulatory guidelines set by the regulators.- To coordinate with allied departments regarding completion of working papers and corporate actions for Board of Directors within the regulatory time lines.- To assist Company Secretary for the proceedings of Annual General Meeting / Extraordinary General Meetings including the execution of Directors election process with in the regulatory timelines set by the regulators. - To ensure timely compliance of all administrative, legal and corporate actions along with submission of regulatory returns as per the guidelines of Companies Act 2017.- Liaison with Share Registrar and CDC to ensure smooth processing of share transfer/ inductions request along with compliances of all allied regulatory returns.- To conduct the Directors training programs as per the guidelines of Corporate Governance rules. - To review the changes in Corporate Governance Rules, Companies Act 2017 and relevant banking laws to further recommend to the management and in operational committees of the bank for associated compliances.- Actively engagement with SECP, SBP, PSX and CDC to ensure the regulatory compliances within the timelines along with implementation of new policies.
